This Affiliate Agreement (“Agreement”) sets forth the terms and conditions for participation in the VINEBOX Affiliate Program, now hosted via AWIN. By joining our program, you (“Publisher,” “Affiliate,” “You,” or “Your”) agree to abide by the following terms. “VINEBOX,” “We,” “Us,” or “Our” refers to VINEBOX, the merchant. VINEBOX reserves the right to approve, reject, or remove any affiliate at its sole discretion.
1. Enrollment and Eligibility
By applying to our affiliate program via AWIN, you affirm that all information submitted is accurate and that your site, content, and promotional methods comply with this Agreement. VINEBOX reserves the right to reject or remove publishers whose content or practices are, in our opinion, unlawful, offensive, unethical, or otherwise inconsistent with our brand.
If your application is rejected, you may reapply after 30 days.

Mobile Sites
Newsletters
Not Allowed
Coupon/Deal Sites
Paid Search (Google Ads, Bing, etc.)
Toolbars, Browser Extensions

Video Content
Note: Only promotional codes provided through the AWIN platform are eligible for commission. Any sales tracked through unauthorized codes will be reversed.
3. Paid Search Policy (Strictly Prohibited)
Affiliates are not permitted to:
Bid on VINEBOX-branded keywords (including variations and misspellings)
Use our brand in ad copy, display URLs, or destination URLs
Direct-link or use redirects from paid ads to VINEBOX.com
Violations will result in a zero commission rate, commission reversal for at least the past 30 days, and potential removal from the program. We enforce a zero-tolerance policy.
4. Publisher Responsibilities
Do not modify our creatives or brand assets without written permission.
Do not place affiliate links on sites with prohibited content (e.g., hate speech, adult, illegal activity, gambling, spam).
Comply with all FTC regulations regarding disclosure of affiliate relationships.
Maintain accurate and transparent disclosure on all posts, pages, or content using VINEBOX affiliate links, clearly stating that you may receive compensation.
Affiliates may not engage in:
Deceptive marketing, click fraud, or phishing
Typosquatting, cybersquatting, or domain squatting using our trademark
Promoting offers on incentivized traffic (rewards, points, sweepstakes, or cashback sites) without prior written approval
5. Legal Compliance
Affiliates must comply with:
All applicable laws and regulations
FTC guidelines
AWIN policies
Data protection and privacy regulations (e.g., GDPR, CCPA, etc.)
If operating outside the United States, you must be familiar with and comply with local marketing laws.
6. FTC and Disclosure Requirements
You must clearly and conspicuously disclose your affiliate relationship with VINEBOX on any website, post, or video where you promote our products. This includes:
Stating that you may receive a commission for purchases
Mentioning if the product was provided for free
Failure to comply may result in termination and reversal of commissions.
7. Limitation of Liability
VINEBOX makes no express or implied warranties regarding the affiliate program. We are not responsible for indirect, incidental, or consequential damages (including loss of revenue or commissions).
Our total liability to you for any claim arising from this Agreement shall not exceed the total commissions paid to you in the preceding six (6) months.
8. Indemnification
You agree to indemnify and hold VINEBOX and its partners harmless from any claims, damages, or expenses (including legal fees) arising from your breach of this Agreement or misuse of affiliate links and creatives.
9. Governing Law
This Agreement is governed by the laws of the State of Colorado, USA, without regard to conflict of law principles.
10. Force Majeure
We shall not be liable for delays or failure to perform due to causes beyond our control, including but not limited to natural disasters, acts of war, internet outages, or governmental actions.
11. Program Modifications
VINEBOX reserves the right to modify this Agreement at any time. Continued participation in the program constitutes acceptance of those changes.
