This Affiliate Agreement is made by and between Strathberry Limited, a company registered in Scotland under company number SC421815(‘Merchant’)and you as an affiliate user of the shareasale.com service (‘Affiliate’).
Conditional upon and in return for the Merchant approving the Affiliate’s application to become an Affiliate of the Merchant’s program (which shall be at the Merchant’s discretion), the Affiliate agrees as follows.
The Affiliate shall not place advertising including the word ‘Strathberry’ or any misspelled version with any search engine.
The Affiliate shall not do anything which could adversely affect the reputation of the Merchant, or any of its brands or products.
The Affiliate shall comply with Shareasale.com, Inc’s Affiliate terms of use and with all applicable laws and regulations when promoting the Merchant’s products.
The Affiliate shall have no authority to bind the Merchant in any legal relations.
Limited edition products and collaboration collections are non-commissionable.
The Merchant may terminate the Affiliate’s membership of the Merchant’s program at any time.
The Affiliate acknowledges that the intellectual property rights in the Merchant’s brands, products and banners are the property of the Merchant. The Affiliate’s permission to use the intellectual property rights of the Merchant is limited to displaying the Merchant’s banners available from time to time for the purpose through shareasale.com. All other rights are expressly reserved. The Affiliate shall immediately cease to make use of the Merchant’s banners upon being removed from the Merchant’s program.
Subject always to overriding provisions of the governing law, the Affiliate agrees that the Merchant shall have no liability whatsoever to the Affiliate in connection with the Affiliate’s services. The Affiliate shall apply to Shareasale.com, Inc for payment of any commissions arising under the Affiliate terms of use, not to the Merchant.
This Affiliate Agreement shall be governed by the laws of Scotland and any disputes arising under or in connection with this Affiliate Agreement shall be subject to the exclusive jurisdiction of the courts of Scotland, save that the Merchant may commence and prosecute proceedings in the courts of any jurisdiction where a breach of this agreement by the Affiliate is occurring or is threatened.
