AFFILIATE AGREEMENT
This Affiliate Agreement (“Agreement”) is a legal agreement between you (“Affiliate,” “you,” or “your”) and Just Shoes for Kids, LLC d/b/a JustShoesforKids.com (“JustShoesforKids.com,” “we,” “us,” or “our”).
By submitting an application to our affiliate program, you acknowledge that you have read, understood, and agree to be legally bound by the terms and conditions of this Agreement.
1. Overview
This Agreement contains the complete terms and conditions governing your participation in the JustShoesforKids.com Affiliate Program. The purpose of this Agreement is to allow approved affiliates to promote JustShoesforKids.com products through links, content, and marketing materials provided via Awin or other approved platforms.
2. Affiliate Obligations
2.1 Enrollment
To begin the enrollment process, you must complete and submit the online application through Awin. We reserve the right to approve or reject any application at our sole discretion.
We may reject or terminate your participation if your website, social media account, or promotional method:
- Promotes sexually explicit materials
- Promotes violence
- Promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age
- Promotes illegal activities
- Violates copyright, trademark, or intellectual property rights
- Includes “Just Shoes for Kids,” “JustShoesforKids,” “Igor,” or variations/misspellings thereof in a domain name, username, social media handle, or account name
- Contains deceptive, misleading, defamatory, obscene, or objectionable content
- Uses unauthorized software downloads, malware, spyware, or commission diversion methods
- Is designed to imitate or appear to represent JustShoesforKids.com
- Represents our products in a misleading, excessively spam-oriented, or brand-damaging manner
2.2 Affiliate Links
Affiliates must use the official tracking links, banners, creatives, and promotional materials supplied through Awin or directly approved by us. We are not responsible for tracking failures caused by altered or incorrect affiliate links.
2.3 Placement Review
We reserve the right to review affiliate placements, promotional methods, websites, email campaigns, and social media content at any time and require modifications if necessary.
2.4 Site Maintenance
Affiliates are solely responsible for maintaining and updating their websites, social media accounts, newsletters, and promotional content.
2.5 Legal Compliance
Affiliates are responsible for complying with all applicable laws, regulations, and platform policies, including intellectual property laws, advertising laws, FTC disclosure requirements, and email marketing laws.
2.6 FTC Disclosure Compliance
Affiliate must clearly and conspicuously disclose their relationship with JustShoesforKids.com in accordance with applicable Federal Trade Commission (FTC) guidelines and advertising laws. Appropriate disclosures may include, but are not limited to, “#ad,” “#affiliate,” or similar language.
2.7 Brand Representation
Affiliates agree to represent JustShoesforKids.com and affiliated brands in a professional, accurate, and brand-appropriate manner consistent with our positioning and values.
3. JustShoesforKids.com Rights and Obligations
3.1 Monitoring Rights
We reserve the right to monitor affiliate activity and promotional methods at any time to ensure compliance with this Agreement.
3.2 Fraud and Abuse
We reserve the right to terminate any affiliate immediately, without notice, for fraudulent activity, abuse of the affiliate program, deceptive marketing, fake reviews, unauthorized coupon usage, trademark violations, or any conduct deemed harmful to our business or reputation.
Commissions generated through fraudulent or prohibited activity may be reversed or withheld.
3.3 Brand Protection
We reserve the right to terminate affiliates whose content, promotional style, audience, or overall brand presentation is inconsistent with the Just Shoes for Kids brand image or values.
3.4 Program Duration
This Agreement begins upon acceptance into the affiliate program and remains in effect until terminated by either party.
4. Termination
Either party may terminate this Agreement at any time, with or without cause, by written notice via email or other written communication.
This Agreement shall terminate immediately upon any breach by Affiliate.
5. Modification
We reserve the right to modify this Agreement at any time. Updated terms may be communicated by email or posted within the affiliate platform.
Continued participation in the affiliate program following such changes constitutes acceptance of the revised Agreement.
6. Payment
Affiliate tracking and commission payments are administered through Awin. Affiliates are responsible for reviewing and complying with Awin’s payment policies and terms.
We reserve the right to withhold commissions associated with returns, canceled orders, fraudulent activity, unauthorized promotions, or violations of this Agreement.
7. Access to Affiliate Account
Affiliates will create login credentials through Awin to access reports, creatives, links, and commission information.
8. Promotion Restrictions
8.1 Prohibited Advertising Practices
The following promotional methods are prohibited:
- Spam or unsolicited commercial email
- Misleading advertisements
- Impersonation of JustShoesforKids.com
- Misrepresentation of discounts or pricing
- Unauthorized coupon distribution
- Fake reviews or fabricated testimonials
- Deceptive AI-generated content
- Malicious software or commission interception tools
8.2 PPC Restrictions
Affiliates may not bid on trademarked keywords including:
- Just Shoes for Kids
- JustShoesforKids
- Igor
- JustShoesforKids.com
- Variations or misspellings thereof
This restriction applies to Google Ads, Bing Ads, Meta advertising, social advertising, and any paid search platform.
8.3 Social Media Restrictions
Affiliates may not create social media accounts, handles, pages, or profiles that impersonate or appear to officially represent JustShoesforKids.com, Igor, or affiliated brands.
8.4 Unauthorized Coupons
Affiliates may not advertise unauthorized coupon codes, discounts, or promotions.
8.5 Parasiteware and Deceptive Technologies
Affiliates may not use software, browser extensions, pop-ups, cookie stuffing, forced clicks, or other deceptive technologies designed to manipulate affiliate tracking or commissions.
9. License and Content Rights
9.1 License to Use Brand Materials
We grant affiliates a limited, revocable, non-exclusive, non-transferable license to use approved logos, trademarks, and promotional materials solely for participation in the affiliate program.
9.2 Content Usage Rights
Affiliate grants JustShoesforKids.com a non-exclusive, royalty-free license to repost, share, display, and use affiliate-created content featuring our products for marketing and promotional purposes, with reasonable credit where appropriate.
9.3 Restrictions
Affiliates may not alter logos, trademarks, or brand assets in a misleading or damaging manner.
10. Disclaimer
JustShoesforKids.com makes no express or implied warranties regarding the affiliate program, website functionality, product availability, or uninterrupted operation of the website.
All implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, are expressly disclaimed.
11. Representations and Warranties
You represent and warrant that:
- You have full authority to enter into this Agreement
- Your participation does not violate any applicable law or agreement
- Your promotional content and activities are lawful and accurate
- You own or have permission to use all content you publish
12. Limitation of Liability
JustShoesforKids.com shall not be liable for indirect, incidental, special, consequential, or exemplary damages arising from participation in the affiliate program.
Our total liability under this Agreement shall not exceed the total commissions paid to Affiliate during the preceding twelve (12) months.
13. Indemnification
Affiliate agrees to indemnify and hold harmless JustShoesforKids.com and its owners, employees, affiliates, and agents from any claims, liabilities, damages, costs, or expenses arising from:
- Affiliate’s promotional activities
- Violation of this Agreement
- Violation of applicable laws
- Intellectual property infringement
- Misleading advertising or representations
14. Confidentiality
Any confidential business, financial, marketing, or operational information disclosed during participation in the affiliate program shall remain confidential and may not be disclosed without prior written consent.
15. Independent Contractor Relationship
Affiliate is an independent contractor. Nothing in this Agreement creates any partnership, employment, agency, franchise, or joint venture relationship.
16. Governing Law
This Agreement shall be governed by and interpreted under the laws of the State of New York, without regard to conflict of law principles.
17. Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes all prior communications or agreements relating to the affiliate program.
If any provision is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.
