Term of the Agreement; Termination
This Agreement begins upon our acceptance of your application and ends when terminated by either party. Either you or Kuvings may terminate at any time, with or without cause, by written or electronic notice. Referral fees are only earned on qualifying sales made during the term and remain payable only if the related orders are not canceled or returned. Kuvings may withhold final payment for a reasonable time to confirm accuracy. Upon termination, all Kuvings trademarks, content, and other intellectual property must be removed from your sites, and all brand-related promotion must cease immediately. Kuvings may withhold referral fees if it determines they were earned in violation of this Agreement and may seek damages, including injunctive relief.
No Keyword Purchasing
Paid search marketing is prohibited without express written consent from Kuvings. This includes bidding on our name, trademarks, or any variations/misspellings on search engines such as Google, Bing, Yahoo, or similar platforms offering PPC, CPC, or CPM advertising.
Search Engine and Advertising Restrictions
Ads must link to your own site or a page within it, not directly to kuvingsusa.com. You may not display our URL in ads, use “official site” or similar language, or imply an official partnership. Kuvings may request that you stop bidding on certain keywords, and compliance is required.
Promotion Codes and Coupons
Only promotion codes provided through the Kuvings Affiliate Program or explicitly approved in writing may be used. Codes not assigned to you, unauthorized codes, expired codes, or codes from unapproved sources must be removed promptly upon request. “Click to reveal” technology, misleading text, and cookie-setting mechanisms without clear consent are prohibited. Only active, authorized codes may be displayed with accurate expiration dates. Sales commissions are valid only on transactions using authorized codes.
Advertising and Publicity
You may not publish material referencing Kuvings or the affiliate program without prior written consent. Email promotions must comply with applicable laws, be sent on your behalf, and either be submitted for prior review or provided to Kuvings upon request. Press releases, public statements, or use of Kuvings marks in media or publicity require written approval.
Relationship of the Parties
You and Kuvings are independent contractors. This Agreement does not create any partnership, joint venture, agency, franchise, or employment relationship, and you may not state or imply otherwise.
Suitability and Responsibility of Affiliate Sites
You are responsible for the development, operation, and maintenance of your site and all materials on it. Sites may not participate if they infringe on intellectual property rights, lack a clear privacy policy, violate laws, promote harmful or discriminatory content, contain malware or spyware, make misleading claims, promote illegal activity, or use prohibited practices such as bulk email, commission hijacking, or traffic interception. Sites may not frame kuvingsusa.com, obscure content through ad triggers, or otherwise interfere with user experience.
Kuvings Trademarks and Intellectual Property
All trademarks, logos, designs, copyrights, text, photos, videos, and other content provided are proprietary to Kuvings. You are granted a limited, non-exclusive, non-transferable, revocable license to use these materials only while participating in the program and in compliance with this Agreement. You may not modify, register, or contest ownership of Kuvings marks or use them in domains, sub-domains, hidden text, or any unapproved manner.
Reversal Policy
Kuvings may reverse commissions for returned, canceled, fraudulent, or invalid orders, up to 100% of commissions earned, based on awin.com reporting.
Limitation of Liability and Disclaimers
Kuvings is not liable for indirect, special, or consequential damages arising from this Agreement or the program. Total liability will not exceed the total referral fees paid or payable to you. Kuvings makes no warranties regarding the program, our site, or products and does not guarantee uninterrupted or error-free operation.
Modifications to the Agreement
Kuvings may update these Terms & Conditions at any time by posting changes in the awin.com program dashboard. Continued participation after changes are posted constitutes acceptance of the updated terms.
Governing Law
This Agreement is governed by the laws of the State of IL, without regard to conflict of law principles. Any disputes will be resolved in the state or federal courts located in Cook County, IL, and you consent to their jurisdiction.
