This Agreement contains the terms and conditions that apply to your participation as a Publisher in the Dwarves shoes Affiliate Program and to the establishment of links from your Publisher website to our website, "dwarvesshoes.com". The Dwarves shoes Affiliate Program is administered through AWIN, Inc. ("AWIN"). THIS IS A LEGALLY BINDING AGREEMENT. BY COMPLETING AND SUBMITTING THE ONLINE APPLICATION, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THIS OPERATING AGREEMENT.
Overview a. This Agreement contains the complete terms and conditions that apply to your participation in the Dwarvesshoes Affiliate Program. The purpose of the Program is to enable HTML linking between your website and dwarvesshoes.com to facilitate tracking, reporting, and compensation for referred sales.
b. Throughout this Agreement, "we," "us," and "our" refer to Dwarves shoes LLC, and "you," "your," and "Publisher" refer to the affiliate participant.
Enrollment a. To begin the enrollment process, you must submit a complete Dwarves shoes Affiliate Program application through the AWIN network. We reserve the right to accept or reject any application in our sole discretion.
b. Grounds for rejection may include but are not limited to websites that:
Contain unlawful, harmful, or violent content
Promote pornography, discrimination, or hate speech
Violate intellectual property rights
Include "Dwarves shoes" or misspellings thereof in domains, meta tags, or page elements
c. Employees of Dwarves shoes, AWIN, their affiliates, and related vendors, as well as immediate family members, are not eligible to join the Program. If your application is rejected, you may reapply at a later time.
Promotion of Affiliation a. Upon acceptance, you will gain access to a variety of promotional links, banners, and creative assets ("Links"). These Links identify your site as a participant and enable referrals to Dwarvesshoes.com.
b. You agree to:
Only use the promotional content we provide
Not alter or manipulate Links or materials
Immediately update creative if we notify you of changes
Ensure all promotions accurately reflect expiration dates and active campaigns
c. You may not:
Post Dwarvesshoes offers before or after their active campaign window
Share confidential or unreleased pricing information
Misrepresent the brand, its promotions, or your relationship with us
Rights and Responsibilities a. We are responsible for order processing, payments, customer service, tracking, and reporting. You will have access to real-time data and performance statistics via the AWIN dashboard.
b. We reserve the right to terminate your participation without notice if you:
Commit fraud
Abuse or misrepresent the Program
Violate any terms herein
c. This Agreement is effective upon our acceptance of your application and remains in effect until terminated by either party.
Commission Determination a. Commissions apply only to Qualifying Purchases, defined as:
Orders placed via tracked affiliate Links
Orders shipped and billed to a U.S. address
Orders fully paid and not refunded or canceled
b. Commissionable revenue excludes taxes, shipping, discounts, credit card fraud, and returned goods. Net Sales are the basis for all commission payouts.
c. Commissions may be forfeited in the event of fraud, manipulation, or violation of Section 11(g).
Commission Payments Commissions are calculated and paid through the AWIN affiliate platform. All affiliate transactions, reporting, and payments will follow AWIN’s Publisher Service Agreement.
Sales Reporting You will receive secure access to the AWIN interface to view tracking, clicks, and conversion data in real time. This data governs your commission payouts.
Pricing and Policies Customers referred via your Links become customers of Dwarvesshoes. All site policies, terms of service, pricing, and product descriptions apply equally to these customers. Product availability and pricing are subject to change without notice.
You may not display or copy any proprietary pricing, product descriptions, or media from our site without written permission.
Publicity You may not create or distribute any materials referencing Dwarvesshoes without our prior written consent.
License a. You are granted a limited, non-exclusive, revocable license to use Dwarvesshoes trademarks, logos, and Links solely in connection with approved promotional use under this Agreement.
b. You agree not to:
Alter our intellectual property
Register domains, trademarks, or ads using our brand
Use our brand in a defamatory or misleading way
c. Dwarvesshoes reserves the right to revoke this license at any time.
Obligations Regarding Your Site a. You are responsible for your website’s content, security, and operation. Your site must not resemble or appear to impersonate Dwarvesshoes.com.
b. You must not:
Spam, mislead users, or promote fake pricing
Participate in unauthorized paid search or competitor keyword bidding
Share pricing errors, exploit bugs, or encourage abuse of our systems
c. Failure to follow these terms may result in termination or forfeited commissions.
Termination a. This Agreement remains in effect unless terminated by either party. You may terminate at any time by notifying us in writing. We may terminate your participation at any time with or without cause.
b. Commissions earned before termination will remain payable unless disqualified. Final payments may be delayed to verify return/refund status.
Modifications We reserve the right to update or modify this Agreement at any time. Changes will be communicated via email or AWIN platform and take effect seven (7) days after notice.
Commission Structure a. This Affiliate Program offers performance-based compensation through a tiered commission model:
Level 1 – 8% commission: Open to all approved affiliates
Level 2 – 9% commission: For affiliates whose referred sales total between $5,001–$10,000
Level 3 – 10% commission: For affiliates generating $10,001–$50,000 in referred sales
Level 4 – 11% commission: For affiliates exceeding $50,000 in referred sales
b. Commissions are calculated based on Net Sales (excluding shipping, taxes, duties, refunds, and cancellations). A 30-day cookie window applies. Commissions will not be paid for returned or canceled orders. All tracked transactions are subject to verification and approval by Dwarvesshoes.
Notice Periods Affiliates may withdraw from the program at any time by providing written notice. Dwarvesshoes reserves the right to terminate this Agreement for any reason, with or without cause. Where feasible, we will provide a 7-day written notice unless immediate termination is necessary due to violations or abuse.
Publishers a. Eligible publishers include but are not limited to:
Content creators and bloggers focused on fashion, lifestyle, or slow fashion
Influencers with verifiable engagement and niche audiences
Websites or newsletters aligned with our brand identity and target customers
b. We do not permit affiliates that:
Use unauthorized paid search advertising on our brand terms
Impersonate the Dwarvesshoes brand or mislead customers
Engage in spamming, fraud, or misleading promotions
c. Dwarvesshoes reserves full discretion to approve or remove affiliates without prior notice.
De-Duplication Policy a. To ensure affiliate tracking accuracy, we maintain strict de-duplication practices:
Sales are de-duplicated against internal email campaigns, direct paid ads, and brand-name search engine placements
Only the last qualifying click will be credited with the referral, excluding restricted sources
b. Affiliates found violating this policy or attempting to manipulate attribution may be removed from the program without warning. All decisions related to attribution and final commission validation rest with Dwarves shoes.
Miscellaneous This Agreement shall be governed by and interpreted in accordance with the laws of the United States. You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this Agreement will be binding on, inure to the benefit of, and be enforceable against the parties and their respective successors and assigns.
Any failure by us to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement.
