Starwest Botanicals Affiliate Agreement
This Agreement (“Agreement”) governs your participation in the Starwest Botanicals Affiliate Program (the “Program”). By submitting your Affiliate Application (“Application”) and being accepted, you (“Affiliate”) agree to these terms. This Agreement takes effect when Starwest Botanicals, Inc. reviews and approves your Application.
1. Enrollment & Acceptance
Submit your Application through our affiliate platform on AWIN.
We reserve the right to approve or reject any Application for any reason.
If rejected, you’re welcome to reapply at any time.
2. Affiliate Responsibilities
You’re responsible for your website or platform, including all content, functionality, and compliance with applicable laws.
You must follow all guidelines related to brand use, advertising practices, and privacy compliance.
Email marketing must follow the CAN-SPAM Act.
Keep your affiliate account information up to date.
3. Prohibited Practices
To keep our program ethical and effective, the following are strictly prohibited:
Use of spyware, adware, cookie stuffing, forced clicks, or redirect schemes.
Bidding on our brand name, misspellings, or close variations in paid search ads.
Spamming forums, blog comments, or social media with affiliate links.
Using coupon or incentive websites to promote your links.
Violations may result in immediate removal and forfeiture of unpaid commissions.
4. Approved Links & Brand Use
You'll get banners, logos, and text links directly from AWIN.
Only use the assets we provide—do not modify the link code or creative.
Starwest Botanicals may update these assets at any time. Please replace them promptly when asked.
5. Starwest Botanicals’ Responsibilities
We’ll handle:
All order processing, fulfillment, and customer service.
Tracking affiliate-driven sales through AWIN.
Providing access to performance and commission reports through your AWIN dashboard.
6. Commissions & Payments
You’ll earn a 15% commission on eligible retail sales.
No commission is paid on wholesale orders, returns, or purchases from coupon/incentive platforms.
All payments are processed through AWIN, subject to their schedule and minimum payout thresholds.
7. Promotions & Coupons
Use only affiliate-specific codes provided by Starwest Botanicals through our affiliate newsletter or manager.
Do not promote or post internal-use coupons from other marketing channels.
Remove any unauthorized coupon listings under your control.
Misuse of coupons may result in immediate removal from the program.
8. Intellectual Property
You may use Starwest Botanicals’ logos and trademarks only as provided and only to promote our products.
Do not create your own variations of our branding.
Any goodwill generated from your promotion belongs to Starwest Botanicals.
We reserve the right to revoke access to brand materials at any time.
9. Term & Termination
This Agreement begins upon your acceptance into the program and continues until either party ends it.
You or Starwest Botanicals may terminate this Agreement at any time, with or without cause.
Termination ends commission eligibility on new sales but does not affect earnings from completed orders before the end date.
10. Policy Changes
We may update this Agreement at any time.
You’ll be notified by email if changes are made.
Continuing to participate after receiving notice means you accept the updated terms.
11. Legal Basics
Governing Law: This Agreement is governed by California law. Any legal disputes must be brought in the courts of California.
Independent Relationship: You are an independent contractor, not an employee or representative of Starwest Botanicals.
Confidentiality: All program-related data and communications must be kept confidential.
Limitation of Liability: We are not responsible for any indirect, incidental, or consequential damages related to your participation.
Indemnification: You agree to defend and hold harmless Starwest Botanicals from any claims arising from your content, conduct, or violations.
Use of AWIN: Your participation is also subject to the terms and conditions of the AWIN Affiliate Agreement.
