Welcome to the NorthShore Care Supply affiliate program; we look forward to doing business with you. This agreement is between Merchant (Samela, Inc. d/b/a NorthShore Care Supply) and Affiliate (you). Both parties agree to abide by our Program Agreement below, as well as by the terms and conditions set forth within the Shareasale affiliate network that govern advertising and commission arrangements, which can be found at https://shareasale.com/agreement.cfm
In order for Affiliate to receive a commission from Merchant, the visitor must click on approved affiliate promotional materials supplied by the Merchant, as provided through the affilate network interface. Affiliate may not use any other promotional materials to drive traffic to Merchant site, unless otherwise given permission by Merchant. Affiliate may not alter approved promotional materials without permission from Merchant.
Affiliate understands and accepts that no referral fee can be paid for any purchase made by a visitor who does not accept "cookies" or who has deleted our "cookies" during a session.
To permit accurate tracking, reporting and commission accrual, you must ensure that all links between your site and our site are properly formatted. We will not be liable for paying commissions on purchases that are not correctly tracked and reported because the links between your site and our site are not properly formatted.
Affiliate shall ensure that all links from the approved affiliate promotional materials are linked directly to the Merchant’s website using approved affiliate links, and not to any intermediate pages or redirects. Any attempt to "launder" referrals or landing pages are not permitted and Affiliate will be subject to termination if the use of such techniques is detected.
The Affiliate's webpage must contain factual information about the Merchant's offerings, and may not display inaccurate claims to encourage the visitor to click through to the Merchant's site. Examples of inaccurate claims would be making exaggerated claims of coupon savings available on Merchant's site, or claiming lower prices than are actually available on Merchant's site. Affiliate agrees not to make any such inaccurate or exaggerated claims, representations, or offers related to the Merchant, the Merchant's site, policies or products. Any such claims must reflect actual pricing, product features, and terms of sale.
Affilate may not purchase or bid on any keywords in their pay per click advertising associated with NorthShore Care Supply, Samela, Inc. or any variations or misspellings ("Merchant Trademarked Terms"). This includes, but is not limited to, northshorecare, northshore care supply, northshorecare.com, north shore care, northshore care northshore care coupons, and Samela.
Affiliates may not engage in activities designed to disguise the source of referrals to Merchant website, hide unauthorized advertising, generate hidden or automated clicks to Merchant website, or obtain unearned commissions. These prohibited activities include but are not limited to automatic redirects, referral and landing page laundering, day-parting, reverse IP geotargeting, cookie stuffing, pop-ups, pop-unders, hidden windows, forced clicks, malware, adware and "front" websites. Affiliate also agrees not place Merchant links in banner farms, link farms, co-registration forms, and unsolicited email (spam). Any Affiliate which is unable to guide Merchant to visible, conventional online content which meet the above criteria and which can credibly be shown to be driving Affiliate referrals to the Merchant's website will be subject to immediate termination. Acceptable sources of referrals will typically be a website, visible at all times and relevant to the Merchant's products.
Affiliate may promote their own Content using online banner ads, links, websites, product listings, shopping sites, emails, and pay-per-click (PPC) advertising, provided that no Merchant Trademarked Terms (as described above) or NorthShore Care logos are used in such advertising, except with permission from Merchant.
Affiliate may not imitate the look or feel of the Merchant's website, or give the visitor the impressions that Affiliate site is in any way related to Merchant sites.
Affiliate content may not:
- Incorporate any materials which infringe or assist others to infringe on any copyright, trademark or other intellectual property rights or to violate the law
- Promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age, or promotes sexually explicit materials or images
- Be in any way unlawful, harmful, threatening, defamatory, obscene, harassing, or racially, ethnically or otherwise objectionable to us in our sole dscretion.
Neither party will be liable for indirect, special, or consequential damages, or any loss of revenue, profits, or data, arising in connection with this Agreement or the Affiliate program, even if such party has been advised of the possibility of such damages. Further, both parties' aggregate liability arising with respect to this Agreement and the referral program will in no event exceed the total commission fees paid or payable to you under this agreement.
