1. Introduction
These Terms and Conditions ("Terms") govern the partnership between Pepa London ("the Company") and affiliates participating in the Awin network ("Affiliates"). By joining the Awin program and promoting Pepa London's childrenswear products, Affiliates agree to comply with these Terms.
2. Eligibility
- Affiliates must be registered members of the Awin network.
- Affiliates must maintain an active website, blog, or social media presence suitable for promoting children's fashion products.
- The Company reserves the right to approve or reject any Affiliate application at its sole discretion.
3. Promotion of Products
- Affiliates are permitted to use the Company’s logos, banners, and promotional materials provided through Awin.
- All promotional content must be accurate, not misleading, and must reflect the Company's branding guidelines.
- Affiliates must not engage in any fraudulent, deceptive, or illegal activities in promoting the Company’s products.
4. Commissions
- Affiliates will earn a commission on sales generated through their unique affiliate links, as per the commission structure outlined on the Awin platform.
- Commissions are tracked and reported by Awin. The Company is not responsible for any tracking or reporting errors.
- Commissions will be paid out according to Awin’s payment schedule and terms.
5. Restrictions
- Affiliates must not bid on the Company’s brand name, variations, or misspellings in any pay-per-click (PPC) advertising.
- Affiliates are prohibited from promoting the Company’s products on websites that contain inappropriate content, including but not limited to adult, violent, or discriminatory material.
- Affiliates must not use cookie stuffing techniques or any other methods to artificially inflate their commissions.
6. Termination
- Either party may terminate this partnership at any time, with or without cause, by providing written notice to the other party.
- Upon termination, Affiliates must immediately remove all promotional materials and links related to the Company from their sites.
- Commissions earned up to the date of termination will be paid out according to Awin’s standard payment procedures.
7. Intellectual Property
- All intellectual property rights, including trademarks, logos, and promotional materials, provided to Affiliates by the Company remain the property of the Company.
- Affiliates are granted a non-exclusive, non-transferable license to use the Company’s intellectual property solely for the purpose of promoting the Company’s products.
8. Confidentiality
- Affiliates agree to keep all information regarding the Company’s business, marketing strategies, and products confidential and not to disclose such information to any third party without the Company’s prior written consent.
9. Limitation of Liability
- The Company shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with this partnership.
- The Company’s total liability to Affiliates for any claim arising out of or relating to this partnership shall not exceed the amount of commissions paid to the Affiliate in the six months preceding the claim.
10. Amendments
- The Company reserves the right to amend these Terms at any time. Affiliates will be notified of any significant changes, and continued participation in the program will constitute acceptance of the amended Terms.
11. Governing Law
- These Terms shall be governed by and construed in accordance with the laws of the United Kingdom.
- Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the United Kingdom.
