Tribal Chimp Corporation Affiliate Program Agreement
This Affiliate Program Agreement ("Agreement") is entered into by and between Tribal Chimp Corporation, ("Company"), and the affiliate, ("Affiliate"), collectively referred to as the "Parties".
1. Appointment: Company hereby appoints Affiliate as a non-exclusive affiliate to promote Company’s products or services ("Products") and to direct potential customers to the Company's website through Affiliate’s marketing efforts.
2. Terms of Service: Affiliate agrees to abide by all the terms and conditions set forth in this Agreement, as well as any additional terms and conditions provided by Company from time to time.
3. Affiliate Obligations: Affiliate agrees to promote Company’s Products in a professional manner and in accordance with all applicable laws and regulations. Affiliate shall not engage in any conduct that could damage the reputation or goodwill of Company.
4. Prohibited Activities: Affiliate agrees not to engage in any of the following activities:
a. Misrepresentation of Company’s Products or services.
b. Spamming or unsolicited email marketing.
c. Violation of any intellectual property rights, including but not limited to trademark infringement.
d. Running PPC campaigns on the brand name keywords "Tribal Chimp".
5. Social Media Policy: Affiliate agrees to adhere to the following social media policy:
a. Affiliate shall not engage in any deceptive or misleading practices on social media platforms.
b. Affiliate shall clearly disclose their relationship with Company on all social media posts promoting Company’s Products.
c. Affiliate shall not use Company’s trademarks or copyrighted material in a manner that could confuse or mislead consumers.
d. Affiliate shall not engage in any activities that could damage the reputation of Company on social media platforms.
6. Commissions: Affiliate shall receive a commission for each qualifying sale made through Affiliate’s unique referral link, in accordance with the commission structure set forth by Company.
7. FTC Disclosure: Affiliate agrees to comply with all Federal Trade Commission (FTC) guidelines regarding the disclosure of affiliate relationships. Affiliate shall prominently disclose their relationship with Company and the fact that they may receive compensation for purchases made through their affiliate links.
8. Payment: Commissions shall be paid to Affiliate on a monthly basis, subject to a minimum payout threshold set by Company.
9. Termination: Either Party may terminate this Agreement at any time, with or without cause, by providing written notice to the other Party. Upon termination, Affiliate shall immediately cease all marketing activities on behalf of Company and remove any Company-related content from Affiliate’s website or other marketing channels.
10. Confidentiality: Affiliate agrees to keep all confidential information obtained from Company confidential and to not disclose such information to any third party without Company’s prior written consent.
11. Limitation of Liability: In no event shall either Party be liable to the other Party for any indirect, incidental, consequential, or punitive damages arising out of or related to this Agreement.
12. Entire Agreement: This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether oral or written.
