Program Terms

Affiliate Program Agreement

This Affiliate Program Agreement ("Agreement") is made betweenLeto Group LLC, a Texas corporation, and the affiliate applicant ("Affiliate").

1. Enrollment in the Program

To begin the enrollment process, the Affiliate will complete and submit the application through ShareASale at [ShareASale Program Link]. The Company will evaluate the application and notify the Affiliate of its acceptance or rejection.

2. Promotion and Marketing

Affiliate is authorized to promote and market the Company’s products/services through legal and ethical methods.
Affiliates may use promotional materials provided by the Company through ShareASale.
All promotional materials and activities must adhere to the Company's branding guidelines and policies as well as ShareASale’s policies.

3. Affiliate Responsibilities

Affiliate will ensure all marketing activities comply with applicable laws, including but not limited to the Federal Trade Commission (FTC) guidelines.
Affiliate will not engage in misleading, false, or deceptive advertising or practices.
Affiliate must disclose their affiliate relationship with the Company in accordance with FTC guidelines and ShareASale’s disclosure requirements.

4. Prohibited Activities

Affiliates are prohibited from the following activities:
Spamming: Sending unsolicited emails or messages.
Cookie Stuffing: Using fraudulent means to generate affiliate commissions.
Trademark Bidding: Bidding on keywords including the Company’s trademarks or variations thereof in pay-per-click (PPC) campaigns.
Unauthorized Use of Promotional Materials: Modifying or creating promotional materials without the Company’s approval.
Misrepresentation: Making false claims about Company products/services.
Discount Code Sites: Posting affiliate links on discount or coupon websites.
Incentivized Traffic: Offering incentives or rewards for clicking on affiliate links, such as cashback or points, unless authorized by ShareASale and the Company.
Adware/Malware: Using adware, spyware, or other deceptive software.
False Advertising: Engaging in false advertising or making exaggerated claims about the Company’s products/services.
Brand Infringement: Using the Company’s trademarks, logos, or brand assets in any manner not expressly authorized by the Company.
Social Media Misuse: Creating social media accounts or pages that appear to be official Company accounts, or using the Company’s trademarks in the domain name of any social media profile or website.
Negative Commentary: Engaging in activities that harm the Company’s reputation, including making derogatory comments about the Company, its employees, or its products/services.
SEO Violations: Using black hat SEO techniques, such as cloaking, keyword stuffing, or using hidden text/links.
Unauthorized Representations: Representing themselves as agents or employees of the Company.
Unapproved Channels: Using unapproved advertising channels, such as adult websites, sites containing illegal content, or any platform that violates the Company’s policies.
Privacy Violations: Collecting personal data from users without their consent or using such data in a manner that violates privacy laws and regulations.
Violation of Third-Party Rights: Engaging in activities that infringe on the rights of third parties, including intellectual property rights.
Prohibited Content: Promoting the Company’s products/services on websites or platforms that contain content related to gambling, pornography, or illegal activities.
PPC Restrictions:
No Trademark Bidding: Affiliates are prohibited from bidding on keywords that include the Company’s trademarks, brand names, or any variations thereof in PPC campaigns.
No Direct Linking: Affiliates are prohibited from using direct linking in their PPC campaigns, meaning the affiliate's PPC ad should not link directly to the Company’s website but to the affiliate's own website.
No Misleading Ad Copy: Affiliates must not use misleading or false ad copy that misrepresents the Company’s products/services or implies an official partnership or endorsement without explicit permission.
No Competitor Keywords: Affiliates should not bid on keywords related to the Company’s direct competitors or use competitor brand names in their PPC campaigns.
No Use of Prohibited Terms: Affiliates must avoid using prohibited terms in their PPC ads that could harm the Company’s brand or violate advertising policies.
No Unauthorized Use of Display URLs: Affiliates must not use display URLs in their PPC ads that appear to be the Company’s official URL.
Compliance with Advertising Policies: Affiliates must comply with the advertising policies of the platforms they use for PPC campaigns (e.g., Google Ads, Bing Ads).

5. Commission and Payment

Commission rates are outlined in the [ShareASale Program Details URL].
Commissions will be paid through ShareASale’s payment system according to ShareASale's payment schedule.
Payments will be made via [Payment Method] to the account details provided by the Affiliate through ShareASale.

6. Termination

Either party may terminate this Agreement at any time, with or without cause, by providing the other party with written notice through ShareASale’s platform.
Upon termination, the Affiliate will cease all promotion of the Company’s products/services and remove all affiliate links.

7. Confidentiality

Affiliate agrees not to disclose any confidential information provided by the Company, including but not limited to sales data, commission rates, and business strategies.

8. Indemnification

Affiliate agrees to indemnify and hold harmless the Company from any claims, damages, or expenses resulting from the Affiliate’s breach of this Agreement or infringement of any third-party rights.

9. Limitation of Liability

The Company will not be liable for any indirect, incidental, special, or consequential damages, or any loss of revenue, profits, or data arising out of this Agreement.

10. Governing Law

This Agreement will be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles.

11. Amendments

The Company reserves the right to amend or update this Agreement at any time. The Affiliate will be notified of any changes via email or through the ShareASale platform.

12. Acceptance

By submitting the application and participating in the Affiliate Program, the Affiliate acknowledges and agrees to the terms and conditions of this Agreement.
