Affiliate Agreement
This Affiliate Agreement (the "Agreement") is made and entered into as of August 2, 2024, by and between Dokoo Pet Store, a Company, and the affiliates participating through the ShareASale platform, whether individuals or entities ("Affiliate").
1. Definitions
1.1 "Affiliate Product" means any product or service offered by Company that Affiliate is authorized to promote under this Agreement.
1.2 "Affiliate Program" means the online marketing and sales program operated by Company that allows Affiliates to earn commissions by referring customers to Company's website.
1.3 "Commission" means the amount paid to Affiliate by Company for each sale of an Affiliate Product that is generated through Affiliate's efforts.
1.4 "Effective Date" means the date this Agreement is executed.
1.5 "Website" means the website located at https://dokoo.net/
2. Appointment of Affiliate
Company hereby appoints Affiliate as an affiliate to promote the Affiliate Products in accordance with the terms and conditions of this Agreement. Affiliate accepts such appointment.
3. Affiliate's Obligations
3.1 Affiliate shall promote the Affiliate Products in a professional and ethical manner.
3.2 Affiliate shall not make any false, misleading, or disparaging statements about Company or its products or services.
3.3 Affiliate shall comply with all applicable laws, rules, and regulations.
4. Company's Obligations
4.1 Company shall provide Affiliate with the necessary tools and resources to promote the Affiliate Products.
4.2 The commission should be paid on time within the deadline according to the payment time and frequency set by the Shareasale platform.
5. Term and Termination
5.1 This Agreement shall commence on the Effective Date and shall continue in full force and effect until terminated by either party upon 30 days' prior written notice to the other party.
5.2 Either party may terminate this Agreement immediately upon written notice to the other party if the other party breaches any material term of this Agreement.
6. Intellectual Property
6.1 All intellectual property rights in and to the Affiliate Program and the Affiliate Products shall remain the exclusive property of Company.
7. Independent Contractor
Affiliate is an independent contractor and nothing in this Agreement shall be construed as creating an employer-employee, partnership, or joint venture relationship between the parties.
8. Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.
