This Affiliate Program Agreement ("Agreement") is entered into between Overtone ("Merchant"), and the affiliate ("Affiliate") participating in the affiliate program hosted on ShareASale.
1. Enrollment in the Affiliate Program:
1.1 Affiliate must submit a complete and accurate application to participate in the Affiliate Program.
1.2 Overtone reserves the right to accept or reject any application at its sole discretion.
2. Affiliate Responsibilities:
2.1 Affiliate agrees to comply with all applicable laws, regulations, and ShareASale’s Terms of Use.
2.2 Affiliate shall not engage in any illegal, deceptive, misleading, or unethical practices that may damage the reputation or goodwill of Overtone.
2.3 Affiliate agrees not to engage in any activities that may be considered as spamming, including but not limited to, unsolicited emails, comments, posts, or messages.
3. Prohibited Activities:
3.1 The following activities are strictly prohibited and may result in immediate termination from the Affiliate Program:
Using cookie stuffing techniques.
Bidding on Overtone’s branded keywords in search engines without prior approval.
Misrepresenting Overtone’s products or services.
Offering cashback or incentives without Overtone’s approval.
Using misleading or deceptive advertising.
Violating intellectual property rights, including but not limited to, using Overtone’s trademarks without permission.
4. Commissions and Payments:
4.1 Affiliate will earn commissions based on valid sales referred to Overtone’s website through Affiliate’s unique tracking link.
4.2 Commissions are payable monthly subject to a minimum payout threshold of [amount].
4.3 Payments will be made via ShareASale.
5. Termination:
5.1 Either party may terminate this Agreement at any time with or without cause by giving the other party written notice.
5.2 Upon termination, Affiliate must immediately cease using all links, logos, trademarks, and other intellectual property of Overtone.
6. Miscellaneous:
6.1 This Agreement constitutes the entire agreement between Overtone and Affiliate regarding the subject matter herein.
