Proper Syrup Affiliate Program Agreement
This Affiliate Program Agreement ("Agreement") is made and entered into by and between Proper Syrup ("Merchant") and the affiliate applying to participate in the Proper Syrup Affiliate Program ("Affiliate").
1. Enrollment in the Affiliate Program
To begin the enrollment process, the Affiliate must submit a completed program application through the ShareASale network. The Merchant will review the application and notify the Affiliate of their acceptance or rejection. The Merchant reserves the right to reject any application for any reason.
2. Promotion of Products
The Affiliate will receive a unique affiliate link to use in promoting the Merchant's products. The Affiliate agrees to use this link to direct traffic to the Merchant's website. The Affiliate is permitted to use the promotional materials provided by the Merchant, including banners, text links, and other creative assets.
3. Commissions
The Affiliate will earn a commission on sales generated through their affiliate link. The current commission rate is 10%. Commissions will be calculated based on the net sales amount, excluding shipping, taxes, and returns. Payments will be made through ShareASale in accordance with their payment schedule and terms.
4. Affiliate Responsibilities
The Affiliate agrees to:
Comply with all applicable laws and regulations.
Not engage in any deceptive, misleading, or unethical practices.
Not use spam or unsolicited email to promote the Merchant's products.
Ensure that all promotional content is appropriate and does not harm the Merchant's reputation.
5. Term and Termination
This Agreement will begin upon the Affiliate's acceptance into the program and will continue until terminated by either party. Either party may terminate this Agreement at any time, with or without cause, by giving the other party written notice. Upon termination, the Affiliate must immediately cease using the affiliate links and remove all promotional materials.
6. Limitation of Liability
The Merchant will not be liable for any indirect, incidental, special, or consequential damages arising out of or related to this Agreement or the Affiliate Program, even if the Merchant has been advised of the possibility of such damages.
7. Governing Law
This Agreement will be governed by and construed in accordance with the laws of the state of [State], without regard to its conflict of law principles.
8. Amendments
The Merchant reserves the right to modify the terms of this Agreement at any time. The Affiliate will be notified of any changes, and continued participation in the program constitutes acceptance of the modified terms.
9. Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings, whether written or oral, relating to the subject matter hereof.
By participating in the Proper Syrup Affiliate Program, the Affiliate acknowledges that they have read, understood, and agree to be bound by the terms and conditions of this Agreement.
