This Affiliate Program Agreement (the "Agreement") is made and entered into by and between Wellness-Shop.co, located at [Address], ("Merchant"), and the affiliate ("Affiliate"), and sets forth the terms and conditions for participation in the Wellness-Shop.co Affiliate Program (the "Program").
By participating in the Program, Affiliate agrees to comply with the following terms and conditions:
1. Enrollment in the Program
1.1 Application Process: To enroll in the Program, Affiliate must submit a completed Program application through the ShareASale platform. The Merchant reserves the right to approve or reject any application at its sole discretion.
1.2 Acceptance: Upon acceptance into the Program, Affiliate will be provided with a unique Affiliate ID and access to various marketing materials.
2. Affiliate Responsibilities
2.1 Marketing Practices: Affiliate agrees to use only promotional materials provided or approved by Merchant. All marketing practices must comply with the FCC regulations and all Ad policies by each social media outlet such as: Google Ads, TikTok, Instagram, Youtube and Facebook policies and ShareASale Terms of Use.
2.2 Prohibited Activities: Affiliate agrees not to engage in any of the following activities:
Misleading Advertising: Creating false or misleading advertisements about the Merchant's products or services.
Unsolicited Communications: Sending unsolicited emails (SPAM) or messages to potential customers.
Trademark Violations: Using Merchant's trademarks or copyrighted materials without prior written consent.
Incentivized Traffic: Offering incentives or rewards for purchases without prior approval from the Merchant.
Non-compliant Social Media Practices: Using prohibited practices on social media platforms, including but not limited to:
Misleading claims about health benefits.
Use of unauthorized hashtags or keywords.
Engaging in any behavior that violates the policies of social media platforms such as TikTok, Instagram, and Facebook.
Cookie Stuffing: Using techniques such as cookie stuffing to force tracking cookies to be set without the user's knowledge.
3. Compliance with Regulations
3.1 FCC Regulations: Affiliate must comply with all applicable FCC regulations, including those related to advertising, endorsements, and disclosures.
3.2 Google Ad Policy: Affiliate must comply with Google Ads policies, including restrictions on misleading content, inappropriate content, and prohibited practices.
3.3 Social Media Policies: Affiliate must adhere to the advertising policies of all social media platforms such as TikTok, Instagram, and Facebook, ensuring all promotions are compliant with these platforms' guidelines.
4. Compensation
4.1 Commission Structure: Affiliate will earn commissions based on the sales generated through their unique Affiliate links, as detailed in the commission structure provided upon acceptance into the Program.
4.2 Payment Schedule: Commissions will be paid on a monthly basis, within 70 days following the end of the month in which the sales occurred.
4.3 Payment Conditions: Commissions will only be paid for sales that are not canceled, returned, or refunded. Merchant reserves the right to withhold or deduct commissions for any sales that are later determined to be invalid.
5. Term and Termination
5.1 Term: This Agreement will begin upon Merchant's acceptance of Affiliate's Program application and will continue until terminated by either party.
5.2 Termination: Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party. Upon termination, Affiliate must immediately cease all promotion of Merchant's products and remove any Affiliate links.
6. Guidelines for Compliance Strategy
6.1 Regular Audits: Merchant will conduct regular audits of Affiliate activities to ensure compliance with this Agreement and applicable regulations.
6.2 Training and Resources: Merchant will provide training materials and resources to help Affiliates understand and comply with the applicable regulations and policies.
6.3 Clear Communication: Affiliates must clearly disclose their relationship with Merchant in all promotional materials, in compliance with FCC endorsement guidelines.
6.4 Review and Approval: Affiliates must submit any new promotional content for review and approval by the Merchant before publishing. Affiliates promotional content maybe used on Wellness-Shop.co website and marketing material.
6.5 Reporting Violations: Affiliates must report any suspected violations of this Agreement or applicable regulations to the Merchant immediately.
7. Miscellaneous
7.1 Modification: Merchant reserves the right to modify the terms and conditions of this Agreement at any time. Affiliates will be notified of any changes, and continued participation in the Program will constitute acceptance of the modified terms.
7.2 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of Nevada, USA, without regard to its conflict of law principles.
7.3 Entire Agreement: This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning its subject matter.
8. Acceptance
By participating in the Program, Affiliate acknowledges that they have read, understood, and agree to be bound by the terms and conditions of this Agreement.
