Wear Etalon Corporation Affiliate Program Agreement
This Affiliate Program Agreement ("Agreement") is made and entered into by and between Wear Etalon Corporation ("Company," "we," "us," or "our") and the affiliate applying to participate in our program ("Affiliate," "you," or "your"). This Agreement outlines the terms and conditions governing your participation in our affiliate marketing program hosted on ShareASale.
1. Enrollment in the Affiliate Program
To enroll in the Wear Etalon Corporation Affiliate Program, you must submit an application through ShareASale. Acceptance into our program is at our sole discretion. We reserve the right to reject any application for any reason, including applications that we determine to be unsuitable for our program.
2. PPC Compliance
Brand Bidding Restrictions: Affiliates are strictly prohibited from bidding on any keywords that include our brand name, trademarks, domain names, or any variations or misspellings thereof. This includes but is not limited to terms such as "Wear Etalon," "WearEtalon.com," and similar phrases.
Ad Text Restrictions: Affiliates may not use our trademarks or brand names in any paid search advertising ad text.
Negative Keywords: Affiliates must implement negative keywords to prevent broad match issues related to our brand terms.
3. Coupon Compliance
PPC and SEO Restrictions: Affiliates are not allowed to bid on terms related to coupons for our brand (e.g., "Wear Etalon Coupons"). Additionally, Affiliates may not utilize SEO tactics centered around our brand name to rank for coupon-related searches.
Coupon Code Disclosure: Affiliates may not use "Click to Reveal Coupon Code" strategies that generate clicks on their ads for our brand.
Use of non-public or gated promotional codes (e.g., for email subscribers or quizzes) is strictly prohibited. Affiliates posting such codes without permission will be removed from the program and forfeit any commissions.
4. Sales Tax and Government Regulation
Compliance with State Laws: Affiliates must comply with all applicable state laws regarding sales tax and other regulations. Affiliates located in states with remote sales tax laws must sign and submit a compliance document certifying that they do not engage in solicitation activities that would create a nexus for sales tax purposes.
Re-certification: Affiliates must re-certify their compliance on an annual basis.
5. Affiliate Responsibilities
Content and Compliance: Affiliates must ensure that their promotional materials comply with all applicable laws, regulations, and guidelines, including the Federal Trade Commission's guidelines on endorsements and testimonials.
Ethical Conduct: Affiliates must promote our products and brand in an ethical and honest manner. Any form of deceptive or misleading marketing practices is strictly prohibited.
Prohibited Content: Affiliates may not promote our products on websites that contain illegal, offensive, or inappropriate content, including but not limited to hate speech, violence, adult content, or discriminatory material.
6. Term and Termination
Term: This Agreement will begin upon our acceptance of your application and will continue until terminated by either party.
Termination: Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party. Upon termination, you must immediately cease all use of our promotional materials and trademarks and remove all links to our website.
7. Modification
We reserve the right to modify any terms and conditions of this Agreement at any time. Continued participation in the program after such changes constitutes your acceptance of the new terms.
8. Limitation of Liability
We will not be liable for any indirect, special, or consequential damages arising in connection with this Agreement or the Affiliate Program, including any loss of revenue or profits.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the state in which Wear Etalon Corporation is headquartered, without regard to its conflict of laws principles.
10. Acceptance of Terms
By submitting an application to participate in the Wear Etalon Corporation Affiliate Program, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions of this Agreement.
