Registration And User Accounts
- Age Requirements :
To register and create an account on StockCreator, users must be at least <strong>18</strong> years old or the age of majority in their respective jurisdiction, whichever is greater.
By creating an account, users represent and warrant that they meet this age requirement.
- Account Responsibilities :
Upon registering, users are responsible for :
- Providing accurate, current, and complete information during the registration process.
- Maintaining the security of their account, including keeping their password confidential.
- Promptly updating account information to keep it accurate, complete, and up-to-date.
- Being responsible for all activities that occur under their account, whether they are aware of them.
- Termination or Suspension of Accounts :
StockCreator reserves the right to suspend or terminate any user account if :
- There are reasonable grounds to believe that any information provided by a user is inaccurate, outdated, or incomplete.
- Users breach any terms, conditions, or guidelines set by StockCreator.
- It's deemed necessary for security, customer service, or other legitimate reasons.
Restrictions On Use
- Prohibited Activities :
Users of the StockCreator platform are strictly prohibited from engaging in the following activities :
Attempting to reverse engineer, decompile, disassemble, or otherwise derive the source code, underlying ideas, algorithms, structure, or organization of the StockCreator platform or any services provided therein.
Uploading, sharing, distributing, or promoting any form of illicit content, including but not limited to content that is illegal, obscene, defamatory, threatening, infringing of intellectual property rights, invasive of privacy, or harmful to minors in any way.
Impersonating any person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity.
Attempting unauthorized access to any part of the platform, other user accounts, or systems and networks connected to StockCreator.
- Distribution of Harmful Software :
Distributing malware, viruses, or any other malicious software that can harm the platform or its users.
Selling, renting, or otherwise monetizing any part of the StockCreator platform or its services without explicit permission from StockCreator.
Using StockCreator in any manner that violates local, state, national, or international laws or regulations.
- Consequences of Prohibited Activities :
Engaging in any of the aforementioned prohibited activities may result in the immediate suspension or termination of the user's account without prior notice. StockCreator also reserves the right to take legal action against individuals or entities who engage in prohibited activities.
Intellectual Property Rights
- Ownership of the Platform Content :
All content on the StockCreator platform, excluding user-generated content but including, without limitation, text, graphics, logos, icons, images, audio clips, digital downloads, and software, is the property of StockCreator or its content suppliers and protected by international copyright laws. The compilation of all such content on this platform is the exclusive property of StockCreator and protected by international copyright laws.
- User-Generated Content Rights :
All content uploaded by users to StockCreator remains the exclusive property of the respective users. Users retain all rights to the content they upload to StockCreator. However, by using the platform, users grant StockCreator a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content throughout the world in any media. This is solely for the purpose of operating, promoting, and improving the StockCreator platform and does not grant StockCreator any rights to sell or otherwise monetize user-generated content.
- Licensing Details :
Any software that is made available to download from the StockCreator platform ("Software") is the copyrighted work of StockCreator and/or its suppliers. Use of the Software is governed by the terms of the end-user license agreement, if any, which accompanies or is included with the Software ("License Agreement"). Users may not install or use any Software that is accompanied by or includes a License Agreement unless they first agree to the License Agreement terms.
- Trademarks :
StockCreator, the StockCreator logo, and all other trademarks, service marks, graphics, and logos used in connection with StockCreator are trademarks or registered trademarks of StockCreator or its licensors. Other trademarks, service marks, graphics, and logos used in connection with the platform may be the trademarks of other third parties. Users are granted no right or license with respect to any of the aforesaid trademarks and any use of such trademarks.
Termination Of Service
- Conditions for Termination by StockCreator :
StockCreator reserves the right to terminate or suspend any user's account and access to the platform at its sole discretion, without notice, for conduct that StockCreator believes violates these Terms and Conditions or is harmful to other users of the platform, StockCreator, or third parties, or for any other reason. However, StockCreator will make reasonable efforts to notify users of any such action.
- Conditions for Termination by User :
Users may terminate their account and cease using the platform at any time. To do so, they simply need to notify StockCreator through the platform's designated function or by contacting StockCreator's support directly.
- Obligations Upon Termination :
Upon termination by either party :
- Users will no longer have access to their StockCreator account and all associated features.
- StockCreator will not delete or modify any content the user has uploaded to third-party stock platforms through StockCreator. However, the access link between StockCreator and these third-party platforms, facilitated for the ease of the user, will be severed.
- Any outstanding financial obligations or dues between the user and StockCreator, if applicable, will remain in effect and need to be settled as per the terms agreed upon.
- Both StockCreator and the user agree to cease any use of the other's intellectual property, trademarks, or brand references, unless a separate agreement specifies otherwise.
Disclaimers
- No Warranties for Uninterrupted Service :
While StockCreator strives to provide a reliable and efficient platform for its users, we do not guarantee that the platform will operate without interruptions or that it will be error-free. The platform and all its features are provided "AS IS" and without any warranties, either express or implied.
- Limitation of Liabilities :
To the fullest extent permitted by applicable law, StockCreator, its affiliates, officers, directors, employees, or agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from :
- Your access to or use of, or inability to access or use, the platform.
- Any unauthorized access to, or use of, our servers and/or any personal information or other information stored therein.
- Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the platform.
- This limitation applies regardless of whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, and even if StockCreator has been advised of the possibility of such damage.
Governing Law And Jurisdiction
- Applicable Law :
These Terms and Conditions, as well as any and all claims arising from or related to your use of StockCreator, shall be governed and construed in accordance with the laws of the Netherlands, without giving effect to any choice or conflict of law provision or rule.
- Dispute Resolution :
In the event of any dispute arising out of or in connection with these Terms and Conditions or your use of StockCreator, the parties shall first attempt to resolve the dispute through amicable negotiations. If such negotiations fail, the dispute shall be settled by arbitration in accordance with the rules of Permanent Court of Arbitration (PCA), which rules are deemed to be incorporated by reference into this clause. The place of arbitration shall be the Netherlands. The arbitral decision shall be final and binding on both parties.
Miscellaneous
StockCreator reserves the right to modify, amend, or change these terms and conditions at any time and at our sole discretion. Unless otherwise specified, any changes or modifications will be effective immediately upon posting the revisions to the platform, and your continued use of the platform will constitute your acceptance of such changes or modifications. We encourage you to review the terms periodically to stay informed.
- Entire Agreement Clause :
These terms and conditions, along with any other legal notices and agreements published by StockCreator on the platform, shall constitute the entire agreement between you and StockCreator concerning the platform. No other terms, promises, or representations, whether written or oral, not contained herein, shall have any force or effect.
- Waiver and Severability :
No failure or delay by StockCreator in exercising any right under these terms and conditions will operate as a waiver of that right. If any provision of these terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining terms will otherwise remain in full force and effect.
