Runmefit Inc. Affiliate Program Terms & Conditions

This document outlines the Terms and Conditions ("Terms") of the Runmefit Inc. Affiliate Program ("Program"). These Terms constitute a legally binding agreement ("Agreement") between Runmefit Inc. ("Runmefit," "we," "us," or "our") and you, the applicant ("Affiliate," "you," or "your"). By applying to and participating in our Program, you acknowledge that you have read, understood, and agree to be bound by these Terms.
1. Enrollment and Acceptance
To enroll in the Program, you must submit a complete application through the AWIN affiliate network. We reserve the right to approve or reject any application at our sole discretion. We may reject applications if we determine that your site is unsuitable for the Program, including but not limited to sites that:
Promote sexually explicit materials, violence, or discrimination.
Promote illegal activities.
Infringe on our or others' intellectual property rights.
Are otherwise in violation of our brand values.
Runmefit Inc. reserves the sole right to approve or reject any affiliate application at our absolute discretion. We may reject applications if we determine that your site is unsuitable for the Program, including but not limited to sites that:
Promote sexually explicit materials, violence, discrimination, or any illegal activities.
Infringe upon our or others' intellectual property rights.
Are otherwise in violation of our brand values.
Contain or promote content related to adult themes, gambling, illegal drugs, weaponry, or any other content deemed inappropriate or harmful to the Runmefit brand image.
2. Affiliate Responsibilities
As a member of our Program, you agree to:
Place and maintain the affiliate links provided by AWIN on your site in compliance with this Agreement.
Be solely responsible for the development, operation, and maintenance of your site and for all materials that appear on your site.
Ensure that all content on your site is your own original material or that you have the legal right to use it.
Clearly and conspicuously disclose your affiliate relationship with Runmefit in accordance with all applicable laws and regulations (e.g., FTC guidelines).
Represent Runmefit products and our brand in a positive and professional manner.
3. Prohibited Activities
The following activities are strictly prohibited and will result in immediate termination from the Program and forfeiture of any outstanding commissions:
PPC Bidding: Affiliates are not permitted to bid on any keywords that include "Runmefit" or any misspellings or variations thereof on any search engine (e.g., Google, Bing). This includes brand terms in combination with other keywords (e.g., "Runmefit coupons," "Runmefit watch").
Unauthorized Promotion: Using any promotional methods that are not approved, including but not limited to spam (unsolicited commercial email), pop-up/pop-under windows, or adware.
Coupon and Deal Sites: Promotion of coupon codes that are not explicitly provided to you through the AWIN platform for affiliate use is prohibited. Commissions will not be paid for sales generated with unauthorized codes.
Misrepresentation: Making false, misleading, or exaggerated claims about Runmefit products or the Program.
Self-Referrals: Using your affiliate link to purchase products for yourself, your friends, or your family is forbidden.
Domain Names: You may not register or use any domain name that contains the "Runmefit" trademark or variations thereof.
Software: You may not develop or use any software that could be used to intercept or redirect traffic from our website.
Affiliates must represent Runmefit products and our brand in a positive and professional manner. Any unauthorized use of Runmefit trademarks, logos, or copyrighted material is strictly prohibited. Affiliates may only use approved marketing materials provided by Runmefit through the Awin platform.
PPC Bidding: Affiliates are strictly prohibited from bidding on any keywords that include 'Runmefit' or any misspellings, variations, or combinations thereof on any search engine (e.g., Google, Bing, Yahoo). This includes, but is not limited to, brand terms used in conjunction with other keywords (e.g., 'Runmefit reviews', 'Runmefit watch', 'Runmefit discount code'). Any affiliate found violating this term will be immediately removed from the program and all pending commissions will be forfeited.
4. Commissions and Payment
You will earn a commission of up to 12% on the net sales price of "Qualified Purchases." A "Qualified Purchase" is a sale of a Runmefit product to a third party that is made through your unique affiliate link, where the customer does not return the product within the designated return period.
Certain products (e.g. accessories sale, clearance sale or open-box products sale) may be excluded from this program.
The commission structure and rates are subject to change at our discretion. You will be notified of any changes through the AWIN platform.
Commissions are tracked and paid out by the AWIN network according to their payment schedule and terms. Runmefit is not responsible for payment processing.
Commissions will be reversed for any returned, canceled, or fraudulent orders.
5. Intellectual Property
We grant you a non-exclusive, non-transferable, revocable right to use the Runmefit logos, banners, and other marketing materials provided through the AWIN platform ("Licensed Materials") for the sole purpose of promoting our products on your site in connection with the Program. You may not alter, modify, or change the Licensed Materials in any way. This license will terminate immediately upon your termination from the Program.
Runmefit offers a commission rate of 12% on all valid sales generated through the affiliate's unique tracking link. Commissions are calculated based on the net sales amount (excluding shipping, taxes, and discounts).
6. Term and Termination
The term of this Agreement will begin upon our acceptance of your Program application and will end when terminated by either party.
You may terminate this Agreement at any time, with or without cause, by providing written notice to us.
We may terminate this Agreement at any time, with or without cause, by providing written notice to you. Termination is effective immediately for any breach of these Terms.
Upon termination, you must immediately remove all affiliate links and Licensed Materials from your site. Any commissions earned through the date of termination will be paid out during the next payment cycle, provided the orders are not subsequently returned or canceled.
A cookie window of 30 days is applied to all sales. This means that if a customer clicks an affiliate's link and makes a purchase within 30 days, the sale will be attributed to that affiliate.
7. Modification
We may modify any of the terms and conditions in this Agreement at any time and at our sole discretion. We will notify you of any changes by posting a new agreement on our website or through the AWIN platform. If any modification is unacceptable to you, your only recourse is to terminate this Agreement. Your continued participation in the Program following the posting of a change notice or new agreement will constitute your binding acceptance of the change.
Commissions for valid sales will be automatically validated approximately 50 days after the purchase date, allowing for product returns and cancellations.
8. Limitation of Liability & Disclaimer
We will not be liable for indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this Agreement or the Program, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement and the Program will not exceed the total commissions paid or payable to you under this Agreement.
9. Indemnification
You agree to indemnify, defend, and hold harmless Runmefit Inc. and its employees, directors, and agents, from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your breach of any provision of this Agreement or your promotional activities.
Runmefit reserves the right to terminate an affiliate's participation in the Program immediately and without prior notice for any breach of these Terms, or for any activity that Runmefit deems harmful to its brand or business.
10. General Provisions
Relationship: You and Runmefit are independent contractors, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties.
Governing Law: This Agreement will be governed by the laws of the State of [Your State/Country], without reference to rules governing choice of laws.
Severability: If any provision of this Agreement is held to be invalid or unenforceable, that provision shall be eliminated or limited to the minimum extent necessary such that the intent of the parties is preserved, and the remainder of this agreement shall have full force and effect.
