Terms and Conditions:
THE CALLAWAY COLLECTION AFFILIATE PROGRAM AGREEMENT STANDARD TERMS AND CONDITIONS PLEASE READ THIS ENTIRE AGREEMENT CAREFULLY. BY SUBMITTING AN APPLICATION TO BE A BRAND AFFILIATE, YOU ARE AGREEING THAT YOU HAVE READ AND UNDERSTAND THE TERMS AND CONDITIONS OF THIS AGREEMENT AND THAT YOU UNEQUIVOCALLY AGREE TO BE LEGALLY BOUND EACH AND EVERY TERM AND CONDITION. This BRAND AFFILIATE Program Agreement (the or this “Agreement”) is a legally binding contract between you (“Brand Affiliate”, “you”, or similar terms) and The Callaway Collection (“The Callaway Collection”, “us”, “we”, or similar terms) and applies to your participation in The Callaway Collection Brand Affiliate Program (the “Program”). Any person or entity that participates or attempts to participate in the Program must accept this Agreement without change. By registering for the Program, you agree to this Agreement.
Applicable Terms The Program permits you to monetize your social media user-generated content by placing on your social media profiles (“Your Profiles”) a link to a personalized Brand Affiliate webpage (“Your Webpage"). When our customers purchase eligible goods from www.thecallawaycollection.com the “The Callaway Collection Site”) using Your Webpage or social media accounts, you will be eligible to receive a 12% commission for purchases. The Callaway Collection requires all Brand Affiliates to acquire proper permission and photo credits, descriptions for any photos of products used to promote and represent The Callaway Collection.
The Callaway Collection is engaging Brand Affiliate as an independent contractor, and not as an agent, employee, or representative of The Callaway Collection, to participate in the Program, including all elements necessary for such participation in accordance with the terms of this Agreement. Brand Affiliate shall have no right to claim or seek an increase in compensation or an adjustment of same with respect to Brand Affiliate's participation. Brand Affiliate waives and releases The Callaway Collection from and against such claims.
You are expressly forbidden from and have no authority to make or accept any offers on behalf of The Callaway Collection or its affiliates, nor shall you be permitted to make representations on behalf of The Callaway Collection Words or its affiliates.
You must comply with this Agreement to participate in the Program and to receive Commissions. Participation in the Program does not grant you any rights to sell The Callaway Collection’s items at events of any kind unless you have received express written permission by The Callaway Collection. In the event that Brand Affiliate breaches any of the terms of this Agreement, or any other agreement between Brand Affiliate and The Callaway Collection, and/or in connection with the Program (e.g., ShareASale Terms of Use, Google Terms of Use and Privacy Policy) then in effect, The Callaway Collection may withhold any and all Commissions otherwise payable to you under this Agreement. The Callaway Collection reserves the right to void or decline any of your transactions or orders at any reason for violation of any of this Agreement.
The Callaway Collection agrees to pay commissions on Qualifying Purchases is made via Your Webpage or Your social media channels with a base amount of no less than 12% of the price paid by the customer and received by The Callaway Collection, before taxes and shipping.
The Callaway Collection will pay Commissions in United States Dollars via direct deposit approximately 30 days following the end of each calendar month in which they were earned. Payments made to you, as reduced by shipping and tax deductions, will constitute full payment and settlement to you of amounts payable under the Agreement. If any excess payment has been made to you for any reason whatsoever, we reserve the right to adjust or offset the same against any subsequent fees payable to you under the Agreement or any other agreement between you and us.
The Callaway Collection may terminate this Agreement or suspend your account immediately upon written notice to you for any of the following reasons: (a) Brand Affiliate has breached or threatened to breach any part of this Agreement; (b) The Callaway Collection determines, in its sole discretion, that we may face potential claims or liability in connection with your participation in the Program; (c) The Callaway Collection determines, in its sole discretion, that the brand or reputation may be tarnished by you or in connection with your participation in the Program; (d) The Callaway Collection determines, in its sole discretion, that Brand Affiliate’s participation in the Program has been used for deceptive, fraudulent or illegal activity; (e) The Callaway Collection determines, in its sole discretion, that the brand and promotion of the brand is being misrepresented and misleading to the customers Upon any termination of this Agreement, all rights and obligations of the parties will be extinguished, including any and all licenses granted in connection with this Agreement.
