These General Terms and Conditions (the "Agreement") govern your participation in the Hot Shot's Secret Affiliate Program (the "Program"). By submitting an application to join the Program, you acknowledge that you have read, understood, and agree to be bound by all of the terms and conditions set forth herein.
1. Definitions
"Affiliate" refers to the individual or entity applying to or participating in the Program.
"Affiliate Link" refers to the unique URL provided by Hot Shot's Secret to the Affiliate, which tracks referrals from the Affiliate's website or promotional efforts.
"Commission" refers to the percentage or fixed amount payable to the Affiliate for qualified sales or leads generated through their Affiliate Link.
"Hot Shot's Secret" refers to Hot Shot's Secret, the provider of the products/services being promoted.
"Program" refers to the Hot Shot's Secret Affiliate Program.
"Referral Period" refers to the duration for which a cookie tracking a referral remains active.
"Visitor" refers to an individual who clicks on an Affiliate Link and visits the Hot Shot's Secret website.
2. Program Enrollment
2.1 To become an Affiliate, you must submit a complete and accurate application through the Hot Shot's Secret website.
2.2 Hot Shot's Secret reserves the right to approve or reject any application for any reason, at its sole discretion.
2.3 You must be at least 18 years old to participate in the Program.
2.4 You warrant that all information provided in your application is true and accurate.
3. Affiliate Responsibilities
3.1 As an Affiliate, you agree to:
a. Promote Hot Shot's Secret's products/services in a truthful and ethical manner.
b. Use only approved marketing materials and Affiliate Links provided by Hot Shot's Secret.
c. Clearly disclose your affiliate relationship with Hot Shot's Secret in all promotional content, as required by applicable laws and regulations (e.g., FTC guidelines).
d. Not engage in any deceptive, misleading, or unethical practices, including but not limited to:
i. Spamming (unsolicited email or direct messages).
ii. Bidding on Hot Shot's Secret's brand name or variations thereof in paid search campaigns (unless explicitly authorized in writing).
iii. Using pop-up, pop-under, or similar tactics that interfere with a user's experience.
iv. Registering domain names that are confusingly similar to Hot Shot's Secret's brand name.
v. Making false claims or misrepresentations about Hot Shot's Secret's products/services.
e. Ensure your website and promotional activities comply with all applicable laws and regulations, including those related to privacy, data protection, and consumer protection.
f. Protect your Affiliate Program login credentials and notify Hot Shot's Secret immediately of any unauthorized use.
4. Commission Structure and Payments
4.1 Commission rates will be as specified on the Hot Shot's Secret Affiliate Program page or as communicated to you in writing.
4.2 Commissions are earned on qualified sales/leads generated directly through your Affiliate Link within the specified Referral Period.
4.3 Hot Shot's Secret will track sales and attribute them to the correct Affiliate using the Affiliate Link.
4.4 Commissions will be paid out on a regular basis, typically within a few business days of the end of the payment period.
4.5 Minimum payout thresholds may apply, as specified by Hot Shot's Secret. If your earned commission does not meet the minimum threshold, it will roll over to the next payment period.
4.6 Payments will be made via Awin. You are responsible for providing accurate payment details.
4.7 Hot Shot's Secret reserves the right to withhold or claw back commissions for:
a. Fraudulent or suspicious activity.
b. Returns, refunds, or chargebacks.
c. Sales generated through self-referrals or unapproved methods.
d. Violation of these terms and conditions.
4.8 You are solely responsible for all taxes, duties, and other governmental charges associated with the commissions you earn.
5. Intellectual Property
5.1 All intellectual property rights in Hot Shot's Secret's brand, logo, trademarks, website content, and products/services remain the sole property of Hot Shot's Secret.
5.2 You are granted a non-exclusive, non-transferable, revocable license to use Hot Shot's Secret's approved marketing materials solely for the purpose of promoting Hot Shot's Secret's products/services within the scope of this Agreement.
5.3 You agree not to modify, adapt, reproduce, distribute, or create derivative works from Hot Shot's Secret's intellectual property without explicit written consent.
6. Term and Termination
6.1 This Agreement will commence upon your acceptance into the Program and will continue until terminated by either party.
6.2 Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party.
6.3 Hot Shot's Secret may terminate this Agreement immediately, without notice, if you breach any of these terms and conditions, or if Hot Shot's Secret determines, in its sole discretion, that your participation in the Program is detrimental to Hot Shot's Secret's reputation or business interests.
6.4 Upon termination, you must immediately cease all use of Affiliate Links and all Hot Shot's Secret marketing materials. Any outstanding commissions earned prior to the effective date of termination will be paid out, subject to the terms of this Agreement.
7. Disclaimers and Limitation of Liability
7.1 THE PROGRAM, WEBSITE, AND PRODUCTS/SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
7.2 Hot Shot's Secret DOES NOT WARRANT THAT THE PROGRAM OR ITS WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
7.3 IN NO EVENT SHALL Hot Shot's Secret BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, LOSS OF PROFITS, REVENUE, DATA, OR USE, INCURRED BY YOU OR ANY THIRD PARTY, ARISING OUT OF OR PARTICIPATION IN THE PROGRAM, EVEN IF Hot Shot's Secret HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
7.4 Hot Shot's Secret'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE PROGRAM SHALL NOT EXCEED THE TOTAL COMMISSIONS PAID TO YOU BY Hot Shot's Secret DURING THE TWELVE (12) MONTHS PRECEDING THE DATE OF THE CLAIM.
8. Indemnification
You agree to indemnify, defend, and hold harmless Hot Shot's Secret, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, or expenses, including reasonable attorneys' fees, arising out of or in any way connected with:
a. Your participation in the Program.
b. Your breach of any term of this Agreement.
c. Your violation of any applicable law or regulation.
d. Any content or materials you create or distribute in connection with the Program.
9. Confidentiality
You agree to keep confidential any non-public information disclosed to you by Hot Shot's Secret in connection with the Program, including but not limited to, business plans, commission rates, and marketing strategies.
10. Governing Law and Dispute Resolution
10.1 This Agreement shall be governed by and construed in accordance with the laws of Ohio, USA, without regard to its conflict of law principles.
10.2 Any dispute arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts located in Mount Gilead, Ohio, USA.
11. Miscellaneous
11.1 Entire Agreement: This Agreement constitutes the entire agreement between you and Hot Shot's Secret regarding your participation in the Program and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.
11.2 Amendments: Hot Shot's Secret reserves the right to modify or amend these terms and conditions at any time by posting the revised Agreement on its website or by notifying you directly. Your continued participation in the Program after such modifications constitutes your acceptance of the revised terms.
11.3 Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
11.4 Waiver: The failure of Hot Shot's Secret to enforce any right or provision of this Agreement shall not be deemed a waiver of such right or provision.
11.5 Relationship of the Parties: Nothing in this Agreement shall be construed to create a partnership, joint venture, employment, or agency relationship between you and Hot Shot's Secret. You are an independent contractor.
11.6 Assignment: You may not assign or transfer your rights or obligations under this Agreement without the prior written consent of Hot Shot's Secret. Hot Shot's Secret may assign this Agreement without your consent.
11.7 Headings: The headings in this Agreement are for convenience only and shall not affect its interpretation.
By applying to and participating in the Hot Shot's Secret Affiliate Program, you acknowledge that you have read, understood, and agree to these General Terms and Conditions.
