Affiliate Agreement Template for C2 Paint
This Affiliate Agreement ("Agreement") is entered into by and between C2 Paint ("Company"), and the undersigned ("Affiliate"), effective as of [Effective Date].
1. Appointment
a. The Company hereby appoints the Affiliate as its representative on a non-exclusive, non-employee basis to endorse and promote its products.
b. The Affiliate accepts the appointment and agrees to faithfully perform the duties assigned.
2. Terms of Engagement
a. Promotion and Conduct: The Affiliate shall conduct themselves in a professional manner, shall not engage in any deceptive or unethical practices, and shall comply with all applicable laws and regulations, including advertising standards.
b. Prohibited Content: The Affiliate is prohibited from using materials that could be deemed defamatory, obscene, illegal, or that infringe on intellectual property rights.
3. Compensation
a. The Affiliate will earn a commission of 10% on direct sales made through their unique affiliate link.
b. Payments shall be made monthly, contingent upon the Affiliate meeting the agreed-upon performance metrics.
4. Intellectual Property
a. The Company grants the Affiliate a non-exclusive, non-transferable, revocable license to use and display the Company’s trademarks, logos, and other intellectual property solely for the purpose of promoting the Company's products under this Agreement.
b. The Affiliate shall not modify, adapt, or create derivative works based on the intellectual property provided by the Company without prior written consent.
5. Confidentiality
a. The Affiliate shall maintain the confidentiality of all proprietary information received during their engagement and shall not disclose such information without the Company's prior written consent.
6. Termination
a. This Agreement may be terminated by either party at any time with thirty (30) days written notice.
b. Upon termination, the Affiliate must cease all use of the Company’s intellectual property and return or destroy all confidential information.
7. Indemnification
a. The Affiliate agrees to indemnify and hold harmless the Company and its directors, officers, employees, and agents from any claims, damages, lawsuits, actions, or expenses arising from or related to the Affiliate’s actions or performance under this Agreement.
8. Limitation of Liability
a. The Company shall not be liable for any indirect, special, incidental, or consequential damages arising out of or related to this Agreement, including, but not limited to, loss of profits or revenue, even if informed of the possibility of such damages.
9. General Provisions
a. Amendment: This Agreement may only be amended in writing signed by both parties.
b. Governing Law: This Agreement shall be governed by the laws of [State/Country] without regard to its conflict of laws principles.
c. Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior discussions, agreements, or understandings of any kind.
TO NOTE:
1- No Trademark/PPC Bidding: Affiliates are strictly prohibited from bidding on keywords related to 'C2 Paint', our products, or any trademarked terms. This includes all forms of our name or any likeness. Violation of this policy will result in immediate termination from the program.
2- Prohibited Use of Coupon or Deal Sites: Our program does not engage with coupon code or deal sites unless personally reviewed and accepted on a case by case basis. Affiliates are expected to use only the promotional materials provided within the program guidelines. Any unauthorized use of promotional materials or deviation from approved marketing strategies will lead to transaction reversal and possible removal from the program.
3 - Compliance with Promotional Guidelines: All affiliates must comply with the promotional materials and campaigns as outlined by C2 Paint. It is crucial to follow these guidelines to maintain the integrity of the brand and the effectiveness of the marketing efforts.
