ELIX AFFILIATE PROGRAM TERMS & CONDITIONS
Effective Date: August 19th, 2025
Welcome to the Elix Affiliate Program! By joining, you (the “Affiliate”) agree to the following terms. Please review carefully to understand your responsibilities and rights.
1. Program Overview
1.1 Elix’s affiliate program rewards Affiliates for referring customers to our online store through approved referral links. Commissions are earned only on Completed Transactions (defined below).
1.2 Participation in the Elix Affiliate Program is also subject to and incorporates by reference Elix’s existing Website Terms of Service and Privacy Policy. In the event of a conflict between these Affiliate Terms and the Website Terms of Service or Privacy Policy, the Affiliate Terms shall control with respect to the Affiliate Program, and the Website Terms of Service and Privacy Policy shall control with respect to use of the Elix website and related services.
1.3 Partner Search and Coupon terms
- Publishers will not bid on branded keywords or search terms (ex. "Elix", Elix reviews,") without express written permission from Elix.
- Publishers will not post unauthorized discount or promotional codes without express written permission from Elix.
- Publishers will not attempt to artificially generate clicks to Elix. You will not cloak, hide, spoof, or otherwise obscure the URL or those of your sub affiliates such that we cannot reasonably determine the platform from which the traffic originated.
- No Ad Networks are allowed as sub-affiliates without express written permission from Elix
- No Coupon or Deal Sites are allowed without express written permission From Elix.
2. Definitions
For purposes of this Agreement:
- Completed Transaction means a purchase where goods are delivered, the return period has expired, and payment is received in full.
- Customer means any individual who makes a purchase on Elix’s website via an Affiliate referral link.
- Net Sale Price means the gross sales amount less taxes, shipping/handling, restocking, transaction fees, discounts, credits, or chargebacks.
- Links means Elix-approved banners, buttons, or tracking codes provided through Awin.
3. Commissions & Payments
3.1 Commission Rates. As specified in the Awin dashboard, based on Completed Transactions.
3.2 Payment Method. Payments are issued via Awin in accordance with their schedule.
3.3 Exclusions. No commission is earned on cancelled orders, refunds, chargebacks, or fraudulent transactions.
3.4 Ownership. Elix reserves sole discretion to approve or deny any transaction.
4. Affiliate Responsibilities
Affiliates agree to:
- Ensure all promotional content complies with laws, is not misleading, and does not include offensive, defamatory, or illegal material.
- Refrain from cookie stuffing, spyware, spam, or misrepresentation.
- Maintain sole responsibility for their website and operations.
5. Affiliate Benefits
- Online Health Assessment Link: Affiliates may share Elix’s proprietary health assessment tool.
- Licensed Practitioner Support: Affiliates may promote access to Elix’s 1-on-1 sessions with Licensed Doctors of Chinese Medicine.
6. Tracking & Reporting
- Awin tracks sales and commissions. Affiliates are responsible for verifying accuracy via their Awin dashboard.
- Elix is not liable for tracking errors or third-party platform failures.
7. Intellectual Property & License
7.1 Elix grants Affiliates a limited, non-exclusive, revocable license to use Elix trademarks, logos, and links for promotional purposes only.
7.2 Affiliates may not register or use any Elix trademarks, domain names, or variations thereof outside of provided assets.
7.3 Upon termination, Affiliates must immediately remove all Elix branding.
8. Confidentiality
Affiliates must keep confidential all proprietary information (e.g., pricing, product details, customer data, sales reports). These obligations survive termination.
9. Representations & Warranties
The Affiliate represents and warrants that they:
- Are legally authorized to enter this Agreement.
- Will comply with applicable laws and regulations.
- Will not publish false, misleading, or unlawful content.
10. Limitation of Liability
Elix disclaims all warranties and provides its site “as is.” Elix’s maximum liability is limited to commissions earned in the previous twelve (12) months.
11. Indemnification
Affiliate agrees to indemnify and hold harmless Elix, its officers, and employees from claims, damages, or liabilities arising from Affiliate actions, including intellectual property infringement, misrepresentation, or legal violations.
12. Termination
12.1 Elix may terminate participation at any time, with or without cause.
12.2 If terminated for breach, unpaid commissions may be forfeited.
12.3 Upon termination, Affiliate must immediately remove all Elix branding, links, and promotions.
13. Governing Law & Dispute Resolution
- This Agreement is governed by the laws of Delaware, USA.
- Affiliates consent to jurisdiction in Delaware courts.
- Both parties waive the right to a jury trial or participation in class actions.
14. Force Majeure
Elix shall not be liable for delays or failures due to events beyond its reasonable control (including, without limitation, natural disasters, labor disputes, or internet outages).
15. Amendments
Elix may update these terms at any time with thirty (30) days’ notice (via email or Awin dashboard).
16. Entire Agreement
This Agreement constitutes the entire understanding between Affiliate and Elix, superseding prior communications. It supplements, and should be read together with, Elix’s Website Terms of Service and Privacy Policy.
