Part 1: Power Blendz Affiliate Program Terms & Conditions

1. Introduction

This Affiliate Program Operating Agreement (the "Agreement") contains the terms and conditions that govern your participation in the Power Blendz Affiliate Program (the "Program"). The Program is operated by Power Blendz ("we," "us," "our," or the "Company") through the Awin affiliate network ("Awin"). By joining the Program, you ("you," "your," or "Affiliate") agree to abide by the terms and conditions contained in this Agreement.

2. Enrollment in the Program

To begin the enrollment process, you must submit a complete and accurate Program application via the Awin platform. We reserve the right to reject any application at our sole discretion, especially if we determine your website or promotional methods are unsuitable for our brand. Unsuitable sites include, but are not limited to, those that contain sexually explicit materials, promote violence, discrimination, illegal activities, or violate intellectual property rights.

3. Affiliate Obligations & Promotional Guidelines

• 3.1. Links and Creatives: You will have access to a variety of graphic and textual links (the "Links") through the Awin interface. You may use these Links on your website, social media channels, and in approved email marketing campaigns to promote Power Blendz products. You may not alter, modify, or expand the Links in any way without our prior written consent.
• 3.2. Approved Promotion: You agree to promote Power Blendz in a positive and professional manner. All promotional content must be accurate and not misleading.
• 3.3. Email Marketing: If you use email marketing, you must comply with the CAN-SPAM Act and all other applicable laws. Emails must be sent on an opt-in basis only.
• 3.4. Social Media: Promotion on social media platforms (Instagram, TikTok, Facebook, etc.) is permitted. You must clearly disclose your affiliate relationship with Power Blendz in compliance with FTC guidelines (e.g., using #ad, #sponsored).
• 3.5. Prohibited Activities: You may not engage in cookie stuffing, pop-unders, forced clicks, or any deceptive practices to generate commissions.

4. PPC (Pay-Per-Click) Bidding Policy

We have a closed PPC policy. To protect our brand integrity, you are strictly prohibited from the following:

• Bidding on the brand name "Power Blendz" or any variations, misspellings, or combinations thereof (e.g., "PowerBlendz.com", "Power Blendz", "Power Blendz coupon") on any search engine (Google, Bing, etc.).
• Using "Power Blendz" as a display URL in any paid ads.
• Using our brand name within the ad copy or ad title of paid search ads.

You may run PPC campaigns using generic keywords (e.g., "healthy smoothies," "protein blender"), provided they do not violate the terms above.

5. Commission Structure and Payment

5.1. Commission Tiers: We offer a performance-based tiered commission structure. Your commission rate is determined by the total monthly sales revenue you generate. The tiers are calculated and reset at the beginning of each calendar month.

5.2. Cookie Duration: The Program operates with a 30-day cookie duration. You will receive a commission if a customer clicks your affiliate link and makes a purchase within 30 days of the initial click, provided it is the last click before purchase.

5.3. Payment Processing: All tracking of sales and processing of commission payments are handled directly by Awin according to their established payment terms and schedules.

5.4. Reversals: Commissions will not be paid on orders that are canceled, returned, refunded, or attributed to fraudulent activity. We reserve the right to reverse commissions for such orders within a reasonable validation period.

5.5. Commission Basis and Exclusions Retail Price Only: Commissions are calculated and paid based on the retail price of the products sold only. Commissions are not calculated on taxes, shipping fees, or any portions of the sale not included in the standard retail price.

Wholesale Exclusion: Wholesale partners, distributors, or entities who purchase products at a wholesale price tier or a negotiated non-retail rate are not eligible to participate in the Program or earn commissions. Any purchases attributed to wholesale accounts will be considered non-commissionable and subject to reversal.

6. Intellectual Property

Power Blendz retains all rights, title, and interest in its trademarks, logos, copyrights, and other intellectual property. We grant you a non-exclusive, non-transferable, revocable right to use our provided creatives strictly for the purpose of promoting our products in accordance with this Agreement. You may not create any domains, social media handles, or other identities that include the "Power Blendz" brand name.

7. Termination

Either party may terminate this Agreement at any time, with or without cause, by giving the other party written notice (email via Awin is acceptable). Upon termination, you must immediately remove all Power Blendz links and branding from your site and cease all promotional activities.

8. Limitation of Liability

We will not be liable for indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this Agreement or the Program, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement and the Program will not exceed the total commissions paid or payable to you under this Agreement.

9. Modification

We may modify any of the terms and conditions contained in this Agreement at any time in our sole discretion. Notification of changes will be provided through the Awin platform. Your continued participation in the Program following the posting of a change notice or new agreement will constitute binding acceptance of the change.

• Default Commission: 12% (This will be the starting rate for new partners).

• Commission Structure (Tiered):
  • Please set up automatic performance-based commission tiers that reset monthly based on sales value.
  • Tier 1: $0 - $999 Monthly Sales > 12% Commission
  • Tier 2: $1,000 - $4,999 Monthly Sales > 15% Commission
  • Tier 3: $5,000+ Monthly Sales > 25% Commission
• Transaction Validation Period: Suggest setting to 45-60 days to allow time for customer returns and charge backs before commissions are locked.
• Commission Basis: Commissions must be calculated on the Retail Price only (exclude wholesale pricing tiers).
• Partner Exclusion: Wholesale partners and wholesale account transactions are excluded from the affiliate program. Please configure tracking to ignore orders with "Wholesale" customer tags if possible, or note that these will be declined during the validation period.
• Sale Item Exclusion: Configure tracking to exclude commissions on SKUs marked as "Sale" or "Clearance."
• Stacking Exclusion: Logic should be set to decline affiliate commissions if a non-affiliate voucher code is present in the transaction.

Policy Settings:

• PPC Policy: Closed / Restricted. Affiliates are NOT permitted to bid on brand terms including "Power Blendz", misspellings, or variations.
• Voucher Codes: Only voucher codes provided specifically through the Awin platform should be commissionable. Unauthorized codes may result in commission declination.
