Functional Formularies Affiliate Agreement
Effective Date: April 1, 2022
This Affiliate Agreement (“Agreement”) is made by and between Nutritional Medicinals, LLC d/b/a Functional Formularies® (“Functional Formularies”), and you as a participating publisher (“Publisher”) utilizing the ShareASale service (“Service”).
You must agree to and abide by the terms and conditions contained in this Agreement in order to participate. Please read this Agreement carefully before registering for or using the Service as a Publisher with respect to Functional Formularies. By signing up, you indicate your acceptance of this Agreement and its terms and conditions. If you do not accept this Agreement, do not use the Service with respect to Functional Formularies®.
TRADEMARK USAGE
Publishers may identify Functional Formularies products using Functional Formularies’ names, marks and logo’s (collectively the “Functional Formularies Marks”) in the manner such products are advertised by Functional Formularies on its website https://www.functionalformularies.com/ (“Functional Formularies Website”). All use of Functional Formularies marks shall inure to the benefit of Functional Formularies. Upon written notice from Functional Formularies, Publisher shall discontinue use of the Functional Formularies Marks.
Publishers shall also comply with Functional Formularies’ trademark usage policy, which is available at https://www.functionalformularies.com/trademark-usage-guidelines/.
Publishers shall not use any Functional Formularies Marks in any domain names, corporate names or in any manner that suggests Functional Formularies has approved or endorsed any content created by Publishers.
PRODUCT DESCRIPTION
Publishers shall not alter any of the creative content made available by Functional Formularies either on the Functional Formularies Website or through the Services. Publisher shall not make any representations regarding the Functional Formularies products not authorized by Functional Formularies.
Publisher shall indemnify Functional Formularies from any and all liability arising from Publisher’s breach of this provision.
EMAIL CONTACT
Functional Formularies reserves the right to communicate with you through the Services and by email for the purpose of informing you of applicable changes or additions to Functional Formularies products or services, the Service or this Affiliate Agreement.
ACTIVITIES
1) Pay Per Click search activity
Publishers are not permitted to conduct any pay per click (“PPC”) search activity using Functional Formularies Marks or any confusingly similar variations thereof.
Without limiting the foregoing, Publisher shall not use the following keywords: Functional Formularies; Functional Formulary; Keto Functional Formularies; Liquid Hope; Liquid Hope Functional Formularies; Nourish; or Nourish Functional Formularies.
2) Advertising
Publishers are not permitted to conduct any advertising using the Functional Formularies Marks or any confusingly similar variations thereof.
3) Discount code / voucher codes
Publishers must not display any discount codes, vouchers or similar promotions on their sites with respect to Functional Formularies products without express prior written authorization from Functional Formularies.
4) Email Marketing
Publishers shall not conduct any email marketing identifying or referring to Functional Formularies products or using any Functional Formularies Marks or any confusingly similar variations thereof.
5) Scraping
Publishers shall not scrape or otherwise attempt to extract bulk content from the Functional Formularies Website. Publishers may link to the Functional Formularies Website in the manner provided by the Services to facilitate tracking and determination of any commissions, as applicable.
UPDATES
Functional Formularies reserves the right to change, modify, add or remove portions of this Agreement at any time and may add to, change, suspend or discontinue any aspect of the Service at any time. All updates to this Agreement will be made available through the Service and continued use of the Services constitutes acceptance of such revised terms.
TERMINATION
Functional Formularies reserves the right to terminate this Agreement or terminate a Publisher at any time for any reason. In addition, if a Publisher violates any provision of this Agreement, Functional Formularies may terminate this Agreement and all unpaid commissions payable to such Publisher may be forfeited.
