IMPORTANT – PLEASE READ

This Agreement contains a binding arbitration clause and a waiver of jury trials and class actions. By applying for or participating in the Artizan Joyeria Ambassador / Affiliate Program (the “Program”) you confirm that you have read, understood, and agree to every term below.

1 · Parties & Program Overview

This Brand Ambassador / Affiliate Marketing Program Agreement (“Agreement”) is a legally binding contract between Artizan LLC d/b/a Artizan Joyeria (“Artizan Joyeria,” “Artizan,” “we,” “us”) and you (“Ambassador,” “Affiliate,” “you”).

The Program lets you monetize social-media or website content by sharing an Awin tracking link (“Your Link”) that directs visitors to www.artizanjoyeria.com (the “Site”). When a visitor completes a Qualifying Purchase (Section 3) via Your Link, you earn a commission paid through Awin.

We may update or replace this Agreement at any time. Continuing in the Program after we post changes equals acceptance. If you do not agree, terminate participation immediately (Section 9).

Nothing here creates a partnership, joint venture, or employment relationship. You act as an independent contractor.

2 · Eligibility & Prohibited Activities

• Age 18+ (or age of majority).
• Active Awin publisher account and contact info kept current.
• Active Instagram, YouTube, Facebook, TikTok, or website.
• Compliance with this Agreement, Awin Publisher Terms & Conditions, and all laws (including sanctions, export-control, data-privacy, and advertising rules).
• FTC disclosure on every channel where Your Link appears:
 “As an Artizan Joyeria partner on Awin, I earn from qualifying purchases.”
• Prohibited: spam, coupon-site dumping, paid search on “Artizan Joyeria” (or misspellings), self-attribution, placing links or codes in Artizan Joyeria social-post comments, or distributing codes in physical retail locations without written permission.
• Be respectful to customers, staff, and other ambassadors.
• Breach of any term may result in immediate termination and permanent forfeiture of unpaid commissions.

3 · Commissions on Qualifying Purchases

• Base rate: 5 % of the product price actually received by Artizan Joyeria, excluding taxes, shipping, discounts, and returns. (Tiered or bonus rates may be offered in writing.)
• Example: Customer spends US $100 → commission = US $5.
• A purchase is “Qualifying” only if:
 1. Customer clicks Your Link and completes purchase within a 30-day cookie window.
 2. Transaction passes Awin’s auto-validation period (default 30 days or per our returns policy).
 3. Order is not cancelled, returned, or refunded.
• Disqualified commissions: purchases arising from prohibited activities, altered links, restricted paid-search, or while our Awin traffic-light status is Amber or Red.
• Withholding / offset: We may permanently withhold or offset unpaid commissions (i) if we determine you breached this Agreement or (ii) to correct any overpayment.

4 · Payment

• Commissions accrue and are held inside Awin.
• After auto-validation, Awin pays you by the payout method in your Awin account (ACH, wire, check) on Net-30 terms.
• You are responsible for bank fees, currency-conversion fees, and all taxes.
• We may offset future payouts to recover overpayments or amounts withheld under this Agreement.

5 · Taxes

We may withhold amounts required by U.S. or other tax authorities. Failure to provide requested tax documentation may suspend payouts until compliance.

6 · Warranties & Compliance Obligations

You represent and warrant that:
• You will participate in the Program in full compliance with this Agreement, Awin policies, and all applicable laws, regulations, sanctions, and export-control rules.
• All information you submit to us or Awin is true, complete, and current.
• You are legally able to enter contracts and are not subject to U.S. or comparable sanctions.
• You have independently evaluated participation and rely on no statements other than those in this Agreement.

7 · Artizan Joyeria Customers

Program participation does not create a customer relationship between you and any purchaser. All customer-service issues must be directed to Artizan Joyeria through the channels listed on the Site.

8 · Brand Representation

Aside from the required FTC disclosure, you may not make statements implying sponsorship, endorsement, or partnership beyond what this Agreement allows. Use only Artizan Joyeria assets supplied via Awin.

9 · Term & Termination

This Agreement starts when you apply and continues until either party ends it by written notice (email is fine). Immediate termination triggers (non-exhaustive) include:
a. Breach or threatened breach of this Agreement
b. Fraudulent, deceptive, or illegal activity
c. Harm to our brand or reputation
d. Tax or legal exposure created by your participation
e. Repeat traffic-light Amber/Red status caused by non-payment
f. We discontinue or materially alter the Program

Sections 2, 4–14 survive termination. Unpaid commissions are paid only on eligible Qualifying Purchases and only if you have not breached this Agreement.

10 · Disclaimers

The Program, the Site, and all related services are provided “as is” without warranties of any kind. We make no promise of traffic, income, or uninterrupted service and are not liable for service interruptions or data loss.

11 · Limitation of Liability

Our total liability arising from the Program will not exceed the commissions paid to you in the twelve (12) months before the event giving rise to the claim. We are not liable for indirect, incidental, consequential, or special damages.

12 · Indemnification

You will defend, indemnify, and hold harmless Artizan Joyeria, its affiliates, employees, and agents from any claims or liabilities arising from: (a) Your Link or content; (b) your breach of this Agreement or law; or (c) your negligence or misconduct.

13 · Dispute Resolution / Arbitration

Before legal action, the complaining party must send a Notice of Dispute and allow 30 days for informal resolution. Unresolved disputes are settled by binding arbitration under JAMS Streamlined Rules before one arbitrator in Miami, Florida, USA (or remotely at the arbitrator’s discretion). No class actions and no jury trials. Either party may bring an eligible claim in small-claims court.

14 · Miscellaneous

• Governing law: Florida, USA, excluding its conflict-of-laws rules.
• Claims must be filed within one (1) year of accrual or are forever barred.
• You may not assign this Agreement without our written consent.
• Any confidential information we share remains our property and must be protected; you may use it only to perform under this Agreement.
• Force-majeure events (war, natural disaster, network outages, etc.) excuse performance.
• If any provision is unenforceable, the remainder remains in effect.
• This Agreement incorporates the Site’s Terms of Use and Privacy Policy; if they conflict, this Agreement controls.
• This document is the entire agreement and supersedes all prior proposals or communications.
