Program Terms

Use of Trademarks

We do not allow the use of our trademarks, urls, misspellings, extensions or any variation with the goal of optimizing for them in the search engines, social media or other channels. Below are guidelines to follow.

• PPC and Media Buys – You may not bid or use any of our trademarks, names, extensions or variations as keywords for any PPC network, content network or media buy. Please also add ProsourceFit, Pro Source Fit and ProsourceFit.com to your negative keywords list. We may ask for screenshots if we see your ads showing and you agree to provide them within 2 business days.

• Social Media – You may not use the ProsourceFit.com name or any variation as hashtags, pretend to be us, represent us or be endorsed or sponsored by ProsourceFit.com. You may not create any account using our name or post any messages, include our materials or links to any ProsourceFit.com Inc. account or profile. You also agree to not tag, call out or link to our social profiles.

• SEO – You may not build pages, websites, blogs or domains that optimize for

ProsourceFit.com including modifiers and extensions. This includes terms like reviews, coupons, discounts, download, etc… If you build a URL like yoururl.com/ProsourceFit-Coupons.html, we will ask you to include a no index tag and robots.txt and possibly add us as a no index to your site and .htaccess file so that the page cannot be indexed in the search engines. If this cannot be done, we will ask for the page to be taken down within 2 business days or you will be removed from the program. Certain exceptions may be provided but only in writing from the current head of ecommerce and marketing.

Advertising Disclosures

Advertising disclosures must always be present. They must appear before any affiliate links are visible, cannot be in popup windows, drop down menus, footers, the bottom of blog posts or anywhere else that would appear after an affiliate link or is not easily visible. Advertising disclosures must also always be used when promoting an affiliate link on any social media site, email campaign or other marketing piece. Failure to use a proper advertising disclosure will result in an immediate removal from the ProsourceFit.com partner program and all commissions will be reversed. You as the partner and affiliate also agree to take any and all financial and legal liabilities that occur to ProsourceFit.com for your lack of disclosures and disclosing.

Wording and Phrases

ProsourceFit.com has very specific branding and terminology guidelines. Below you will find wording that you are not allowed to use in any post or promotion where you use ProsourceFit.com links.

1) Do not exploit political agendas for commercial use

2) Do not position in a sexually suggestive manner. No sex, nudity or provocative stuff.

3) Must be accurate and provide proper representation without deception. Content can’t be false, deceptive or misleading.

4) You cannot state that ProsourceFit is only for a specific group of people or does not appreciate, respect or work with anyone based on age, gender, religion, sexual orientation, and race. The only people we won’t work with or sell to are jerks.

5) Don’t be offensive. You can’t harass, insult or bully others

6) No Hate Speech

7) You can’t impersonate others

8) No shocking, sensational violent stuff

9) Don’t break copyright laws

11) Don’t break trademark laws

12) Don’t mess with someone’s privacy

13) Do not modify ProsourceFit brand assets in any way, such as by changing design and color unless the creative is approved in writing by the CMO of ProSource.

14) You agree that you will use any Product(s) acquired as samples for promotional purposes for your personal use only, and you will not resell, lease or rent such Product(s) to any third party for any reason whatsoever.

If you have any questions on specific words, please write to us before using them. We will get back to you in a reasonable amount of time and help with alternatives for phrases that are not approved.

Coupon & Loyalty Sites

If you run a deals, coupon or loyalty site, please read the following closely. If we find any of the following, and you do not have approval or permission from the current head of marketing or ecommerce (not the affiliate manager) we may reverse all commissions and you may be removed the program without warning.

We do not allow the following:

• Hidden codes – You cannot hide, have click to reveal or block users from accessing a deal, coupon or discount code.

• Expired codes – You cannot post any deal or discount code that is expired and all codes on your site must be current, active and approved.

• Non affiliate codes – you cannot use any code, discount or deal that is not provided inside the affiliate network.

• Nonexistent codes or deals – You cannot post that there is a deal or discount available if we are not offering one through our partner program.

• Pages to rank for URL + modifiers – You cannot create indexable pages that are built to rank for our URL + coupons, deals, discounts, savings, etc…

• Posting codes to properties you do not own – You cannot post codes, coupons or deals to websites and web properties you do not own. You can however post to your own social media accounts, as long as you follow our trademark and branding guidelines.

Toolbars, Downloadable Software and Adware

We do not allow adware of any kind in the program. Adware by our definition is anything that can interrupt the shopping process, traffic, disrupt the end user experience or be used to display an ad. This includes but is not limited to PPV, couponware, reminderware, loyaltyware, contextual ads, interruptive ads, shopping windows, browser helper objects, CPV advertising.

Link Cloaking

All links have to be clearly visible and not cloaked. We need to see the referring URL from the exact page the last click came from. You cannot cloak links, use redirects or show us one page but end users the other.

No Automonetization Tools or Scripts

We treat this the same as adware. Anything that interrupts the current shopping process will not be allowed for any reason. Turning direct links into affiliate links with javascripts, toolbars, contextual software, etc… will not be allowed since it is poaching traffic we would have had anyways.

The one exception is for new traffic and new content that is created directly from the efforts of the tool or script providers. This content will have to be approved as commissionable by the current head of marketing or ecommerce (not the affiliate manager) and exist in writing or an email.

Right to Reverse Commissions and Acceptance Into the ProsourceFit.com Program

We reserve the right to reverse any commission at any time for any reason. We can also remove any partner for any reason and at any point in time without question.

Additional Information

These Terms of Services will be governed by the laws of the State of California, and Los Angeles County will be the sole and exclusive venue for all claims or causes of action arising from or related to these Terms of Services. These Terms of Services constitutes the entire understanding between the ProsourceFit and you with regard to the brand affiliate-related services described herein, and is not intended to be (and shall not be) construed by, interpreted or otherwise linked to any other contract, agreement or understanding that may exist between the ProsourceFit and you.

You are, and at all times will remain, an independent contractor, and not an employee of the ProsourceFit, within the meaning of all federal, state and local laws and regulations governing employment insurance, workers compensation, industrial accident, labor, and taxes. You agree and acknowledge that you are not authorized to enter into any contract or assume any obligation on behalf of the ProsourceFit without the prior written consent of the ProsourceFit.

TOS Changes

It is your responsibility to check our TOS as we will update them on occasion and may not provide the dates when they will change or the details about the changes.
