iContact Camera - Affiliate Marketing Terms and Conditions
These Affiliate Marketing Terms and Conditions ("Agreement") govern participation in the affiliate marketing program ("Affiliate Program") of iContact Camera ("Company"), operated through the website www.icontactcamera.com ("Website"). By participating in the Affiliate Program, you ("Affiliate") agree to comply with these terms.
Enrollment in the Affiliate Program
1.1. To enroll as an affiliate, Affiliate must complete the application on the Website and agree to these terms.
1.2. Company reserves the right to accept or reject any application at its sole discretion.
Affiliate Responsibilities
2.1. Affiliate agrees to promote Company's products and services using ethical marketing methods that comply with all applicable laws and regulations.
2.2. Affiliate will not engage in any misleading, deceptive, or unethical practices in promoting Company's products.
2.3. Affiliate is responsible for ensuring that all affiliate links are properly formatted and functioning.
2.4. Trademark and Paid Search Policies:
- Trademark Bidding: Trademark bidding is strictly prohibited. This includes both direct trademark bidding and trademark plus bidding.
- Paid Search Direct Linking: Direct linking in paid search campaigns is not allowed.
2.5. Software and Email Marketing:
- Downloadable Software: Certain partners offering downloadable software are eligible to join our program. Contact us for verification and inclusion.
- Email Marketing: Email marketing is permitted under the condition that all partners are Can-SPAM compliant. Affiliates must contact us before starting email marketing campaigns to ensure inclusion on suppression lists. Failure to reach out beforehand will be considered a violation of our terms.
2.6. Coupon/Offer Codes:
- Affiliates may only promote codes provided through the ShareASale affiliate program. Sales using codes not supplied by us or not listed within ShareASale may lead to commission reversals and could result in removal from the program.
Commission
3.1. Affiliate will receive a commission on sales of Company's products generated through Affiliate's unique affiliate links.
3.2. Commission rates and payment terms will be specified separately and may be subject to change at the Company's discretion.
Intellectual Property
4.1. Company grants Affiliate a non-exclusive, non-transferable, revocable license to use Company's logos, trademarks, and marketing materials ("Intellectual Property") solely for the purpose of promoting Company's products.
4.2. Affiliate agrees not to modify, reproduce, distribute, or create derivative works based on Company's Intellectual Property without prior written consent.
Termination
5.1. Either party may terminate this Agreement at any time with or without cause by giving written notice to the other party.
5.2. Upon termination, Affiliate must immediately cease all use of Company's Intellectual Property and remove all affiliate links.
Limitation of Liability
6.1. Company will not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with this Agreement, even if advised of the possibility of such damages.
Miscellaneous
7.1. This Agreement constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior agreements and understandings.
7.2. This Agreement shall be governed by and construed in accordance with the laws of Sheridan, Wyoming, without regard to its conflict of law principles.
Modification
8.1. Company reserves the right to modify these terms at any time. Affiliate will be notified of any changes, and continued participation in the Affiliate Program after such changes constitutes acceptance of the modified terms.
By enrolling in the Affiliate Program, Affiliate acknowledges that they have read, understood, and agree to abide by these terms and conditions.
