Program Terms

Datafeedr Affiliate Program Agreement

 

As an authorized affiliate of Datafeedr Inc, you agree to abide by the terms and conditions contained in this Agreement. 

Please read the entire Agreement carefully before registering as an Affiliate.

Your participation in the Program is solely to legally advertise our website to receive a commission on products purchased by individuals referred to Datafeedr by your website or personal referrals.

By signing up for the Datafeedr Affiliate Program, you indicate your acceptance of this Agreement and its Terms and Conditions. 

It is each Affiliate’s responsibility to ensure compliance at all times and each Affiliate is solely responsible for the actions of employees, agents or contractors acting on Affiliate’s behalf.

 

1. Application

After receiving your application, we will review your website and notify you of your acceptance or rejection into our Program. Please allow up 48 hours for your application to be reviewed. 

We reserve the right to approve or reject ANY Affiliate Program Application in our sole and absolute discretion. 

You will have no legal recourse against us for the rejection of your Affiliate Program Application. However we encourage you to contact us if you feel we have made an incorrect decision.

 

2. Commissions

Commissions will be paid by ShareASale once a month. 

Datafeedr offers a 30-day money back guarantee, so for an Affiliate to receive a commission, the referred account must remain active for at least 30 days. 

If a referred account is refunded within 30 days of signing up, the commission won’t be paid out for the referred account.

You will not receive a commission when signing up for your own Datafeedr account via your affiliate link. There is also a limit of one commission per referral.

We reserve the right to reverse orders due to order cancellations, duplicate tracking, disputed charges, and program violations as outlined in these Terms and Conditions.

 

3. Termination

Your affiliate application and status in the Program may be suspended or terminated for any of the following reasons:

- False claims

- Misleading hyperlinks 

- Spamming 

- Cookie stuffing 

- Fraudulent transactions

- Suspected Affiliate fraud

- Advertising on sites containing any content that is threatening, harassing, defamatory, obscene, harmful to minors, or contains nudity, pornography or sexually explicit materials. 

- Failure to disclose the affiliate relationship for any promotion that qualifies as an endorsement under existing Federal Trade Commission guidelines and regulations, or any applicable state laws.

- Violation of intellectual property rights. Datafeedr reserves the right to require license agreements from those who employ trademarks of Datafeedr in order to protect intellectual property rights.

- Offering non-authorized coupons and deals as an incentive. 

If we ask you for more information on any orders or clicks that we suspect may be in violation of our Terms and Conditions, we expect that you will respond in a timely and honest manner. Below are violations of our communications policy:

- You are not forthcoming, intentionally vague or are found to be lying.

- You are not responsive within a reasonable time period after multiple attempts to contact you via the information listed in your network profile.

- You cannot substantiate or validate the source of your traffic to our Program with clear and demonstrable proof.

If any of the above apply, we reserve the absolute right to reverse orders, set your commission to 0% or suspend you from the Program for the period or orders in question. 

We know that many violations are a result of automated processes; however it is incumbent upon each Affiliate to ensure that the appropriate checks are in place to pro-actively address these issues and adhere to our program rules.

 

4. Affiliate Links

Upon acceptance into the Program, links will be made available to Affiliates through ShareASale's affiliate interface. Your acceptance in our Program means you will agree to and abide by the following:

- Use of any of our trademarked terms as part of the domain or sub-domain for your website is strictly prohibited.

- All websites with one or more Datafeedr affiliate link(s) must be listed in your ShareASale's affiliate profile.

- You may use the graphics and ad copy provided by us through ShareASale's affiliate interface, or you may create your own as long as they are deemed appropriate according to the Terms and Conditions in this Agreement.

- You may only use linking code obtained from ShareASale's affiliate interface without manipulation.

- You may not in any way copy, resemble, or mirror the look and feel of Datafeedr's website. 

- You shall not use any means to create the impression that your website is Datafeedr's website or any part of Datafeedr's website including, without limitation, framing Datafeedr's website in any manner.

- You shall not attempt to mask the referring url information - i.e. the page from where the click is originating.

- Using redirects to bounce a click off of a domain from which the click did not originate in order to give the appearance that it came from that domain is expressly prohibited.

- You shall not submit direct affiliate links to social media sites like Facebook, Twitter, Pinterest and other similar sites. 

If you are found in violation of these rules, your current and past commissions will be voided or your commission level will be set to 0%. Continued violations may lead to removal from the Program. 

 

5. Coupon Guidelines

Affiliates enrolled in our Program and who consider the promotion of our products in relation to a deal or coupon, must adhere to our Coupon Guidelines as follows:

- You may only advertise offers that are provided to you through the Program.

- You may not advertise knowingly expired offers or present offers that do not exist.

- You may not advertise offers obtained from Datafeedr's non-affiliate advertising, customer e-mails, paid search, or any other campaigns Datafeedr runs. 

- You may not use misleading text on affiliate links, buttons or images to imply that anything besides currently authorized offers are available. 

- You always have to show information and details about the offer before an affiliate cookie is set.

- Making claims that a user must click on a link, button or image first to activate or receive an offer is strictly prohibited.

- Technology that generates a click or sets the cookie from the action of copying a coupon code or through a pop under is strictly prohibited.

 

6. Pay Per Click (PPC) Guidelines 

Affiliates enrolled in our Program and who participate in Pay Per Click (PPC) advertising, must adhere to our PPC guidelines as follows:

- Datafeedr retains and reserves the exclusive rights to the advertising of the Datafeedr trademarked names including any variations or misspellings thereof. 

- Datafeedr also retains and reserves the exclusive rights to the use of the Datafeedr trademarked names including any variations or misspellings thereof in top-level domains.

- You may not bid on any of our trademarked names including any variations or misspellings thereof for search or content based campaigns on Google, Bing, Yahoo and any other pay-for-placement search engines and services.

- You may not bid on any of our trademarked names including any variations or misspellings thereof in combination with any other keyword (e.g. Datafeedr coupon code, Datafeedr discount,...).

- You may not use our trademarked names including any variations or misspellings thereof in ad title, ad copy, display name or as the display url. 

- You may not make representations that your advertisement or website is an official Datafeedr endorsed advertisement or website. 

- You may not direct link to our website from any advertisement or use redirects that yield the same result. People clicking on your advertisements must be directed to an actual landing page on your website.

If you automate or outsource your PPC campaigns, the responsibility is yours to exclude our trademark names from your program and we strongly suggest you add our trademarked names as negative keywords. 

We have a strict no tolerance policy on PPC trademark bidding. 

We will not enter a discussion about when the violation started and when it stopped; you will forfeit all commissions for a minimum of the past 30 days and your commission will be set to 0% without warning.

Violations of the Datafeedr PPC Guidelines may be reported to help [@] datafeedr.com. 

Please have all applicable proof in your email including but not limited to screen shots of the ad, geographical location of the ad, URL/Network tracking information, and search engine where the ad was found.

 

7. E-mail Campaigns 

Affiliates enrolled in our Program and who intend to promote our products via e-mail campaigns, must adhere to the following:

- Abide by the CAN-SPAM Act of 2003 (Public Law No. 108-187) with respect to our Program.

- E-mail must be sent on your behalf and must not imply that the e-mail is being sent on behalf of Datafeedr.

- E-mails must first be submitted to us for approval prior to being sent or we must be sent a copy of the e-mail.

 

8. Liability

Datafeedr will not be liable for indirect or accidental damages (loss of revenue, commissions) due to affiliate tracking failures, loss of database files, or any results of intents of harm to the Program and/or to our website(s).

We do not make any expressed or implied warranties with respect to the Program and/or the memberships or products sold by Datafeedr. We make no claim that the operation of the Program and/or our website(s) will be error-free and we will not be liable for any interruptions or errors.

 

9. Term of the Agreement

The term of this Agreement begins upon your acceptance in the Program and will end when your Affiliate account is terminated.

The terms and conditions of this agreement may be modified by us at any time.

If any modification to the terms and conditions of this Agreement are unacceptable to you, your only choice is to terminate your Affiliate account.

Your continuing participation in the Program will constitute your acceptance of any change.

 

10. Indemnification

Affiliate shall indemnify and hold harmless Datafeedr and its affiliate and subsidiary companies, officers, directors, employees, licensees, successors and assigns, including those licensed or authorized by Datafeedr to transmit and distribute materials, from any and all liabilities, damages, fines, judgments, claims, costs, losses, and expenses (including reasonable legal fees and costs) arising out of or related to any and all claims sustained in connection with this Agreement due to the negligence, misrepresentation, failure to disclose, or intentional misconduct of Affiliate.

 

11. Governing Law, Jurisdiction, and Attorney Fees

This Agreement shall be governed by and construed in accordance with the laws of Canada. Any dispute arising under or related in any way to this Agreement shall be adjudicated exclusively in the state courts located in New York, USA.

In the event of litigation to enforce any provision of this Agreement, the prevailing party will be entitled to recover from the other party its costs and fees, including reasonable legal fees.

 

12. Electronic Signatures Effective

The Agreement is an electronic contract that sets out the legally binding terms of your participation in the Datafeedr affiliate program. 

You indicate your acceptance of this Agreement and all of the terms and conditions contained or referenced in this Agreement by completing the application process. 

This action creates an electronic signature that has the same legal force and effect as a handwritten signature.
