This Affiliate Program Agreement ("Agreement") is entered into by and between Otella Cool, ("Company"), and , ("Affiliate"), collectively referred to as the "Parties".
1. Purpose
The purpose of this Agreement is to establish the terms and conditions under which Affiliate shall promote Company's products/services in exchange for compensation, as part of the Affiliate Program.
2. Scope of Activities
2.1. Authorized Activities: Affiliate is authorized to promote Company's products/services through approved marketing channels and methods provided by the Company.
2.2. Prohibited Activities: Affiliate agrees not to engage in the following activities:
a) Incentivized Clicks: Offering incentives such as cash, points, or rewards to encourage clicks on affiliate links.
b) False Representation: Making false or misleading claims about Company's products/services or engaging in deceptive marketing practices.
c) Trademark Infringement: Using Company's trademarks, logos, or copyrighted materials without prior written consent.
d) Spamming: Sending unsolicited emails, messages, or other communications promoting Company's products/services.
e) Unapproved Channels: Promoting Company's products/services through channels not approved by the Company.
f) Violation of Laws: Engaging in any activities that violate applicable laws or regulations.
3. Compensation
3.1. Commission Structure: Affiliate shall be compensated according to the commission structure outlined in the Affiliate Program terms.
3.2. Payment Terms: Payments shall be made to Affiliate on a [monthly/quarterly] basis, subject to meeting the minimum payment threshold and compliance with this Agreement.
4. Termination
4.1. Termination for Cause: Either Party may terminate this Agreement immediately upon written notice if the other Party breaches any material provision of this Agreement.
4.2. Effect of Termination: Upon termination, Affiliate shall immediately cease all promotional activities related to Company's products/services and shall return any materials or assets provided by the Company.
5. Confidentiality
5.1. Confidential Information: Both Parties agree to keep confidential any proprietary or sensitive information disclosed during the course of this Agreement.
5.2. Non-Disclosure: Affiliate shall not disclose any confidential information of the Company to third parties without prior written consent.
