Terms and Conditions for Marketing Affiliate Program
These terms and conditions ("Terms") govern your participation in the marketing affiliate program ("Affiliate Program") offered by Kyte Baby ("Company"). By participating in the Affiliate Program, you agree to comply with these Terms. Please read them carefully.
1. Enrollment
1.1 To participate in the Affiliate Program, you must complete the Affiliate Program Application.
1.2 We reserve the right to accept or reject any application at our sole discretion.
2. Affiliate Responsibilities
2.1 You agree to promote the Company's products in compliance with all applicable laws and regulations.
2.2 You will not engage in any deceptive, misleading, or unethical marketing practices.
2.3 You are responsible for all content, promotions, and advertising used in connection with the Affiliate Program.
3. Commission Structure
3.1 You will earn 10% commissions based on sales generated through your unique affiliate link with a 30 day cookie.
3.2 Commission rates and payment terms will be outlined in your affiliate dashboard or agreement.
3.3 Commissions will only be paid for sales that are verified and not refunded or charged back.
4. Fraud
4.1 Fraudulent Activities: Affiliates are prohibited from engaging in any fraudulent activities including, but not limited to:
False Representations: Misrepresenting products or services, or using false information during transactions.
Any transaction or purchase that is canceled by Kyte Baby or its client or which results in incomplete purchase or sale is deemed canceled with no benefits or is deemed non-billable by the client of Kyte Baby.
Identity Theft and Payment Fraud: Using another person’s identity or personal information without authorization, or using stolen/unauthorized payment information to make purchases.
Prohibition on PPC Bidding: Users of our services agree not to engage in PPC bidding for our brand names, product names, or any related keywords. This includes:
Bidding on brand-related terms in search engines or advertising platforms.
Using any automated tools or services to bid on keywords related to our offerings.
Prohibition on Coupon Sites: Users must not submit or list our products or services on coupon sites. This includes:
Creating or distributing coupons that offer discounts on our products without prior written consent.
Engaging in any promotional activity that involves coupon aggregation or unauthorized discounting.
Manipulation of Systems: Attempting to manipulate or abuse our systems, algorithms, or policies for personal gain.
Click Bait: Users shall not engage in the creation or distribution of click bait, defined as content designed to attract attention and encourage clicks under false or misleading pretenses.
Cookie Loading: Users shall not engage in cookie loading or placing cookies on a user’s device without their consent, for the purpose of tracking or gathering information.
Prohibited Content: Users shall not post, upload, or transmit any content that is unlawful, defamatory, obscene, abusive, discriminatory, or otherwise objectionable.
You agree that if you use any of the above mentioned improper ways and means to deliver any Objectives (Clicks, Installs, or Activations), then Kyte Baby has the right to reject all payments where such improper ways and means are detected and/or reasonably suspected and has the sole right to terminate any outstanding order and decline/delete you as the case may be for any future business.
Self-Purchase Restriction: Affiliates are strictly prohibited from using their own affiliate links to make personal purchases or any purchases on behalf of others, including family, friends, or business associates.
5. Intellectual Property
5.1 You are granted a non-exclusive, non-transferable, revocable license to use Company's logos, trademarks, and promotional materials solely for the purpose of promoting Company's products/services as part of the Affiliate Program.
5.2 You agree not to modify any Company trademarks, logos, or promotional materials without prior written consent.
6. Termination
6.1 Either party may terminate this agreement at any time with or without cause by giving written notice to the other party.
6.2 Upon termination, you must immediately cease all use of Company's trademarks, logos, and promotional materials.
7. Limitation of Liability
7.1 Company will not be liable for any indirect, special, or consequential damages arising in connection with the Affiliate Program.
7.2 Our total liability under these Terms will not exceed the total commissions paid or payable to you under this agreement.
8. Modification of Terms
8.1 We reserve the right to modify these Terms at any time. We will notify you of any changes by email or by posting a notice on our website.
8.2 Your continued participation in the Affiliate Program after the effective date of any changes constitutes your acceptance of the modified Terms.
9. Governing Law
9.1 These Terms are governed by and construed in accordance with the laws of the state of Texas.
10. Miscellaneous
10.1 These Terms constitute the entire agreement between you and Company regarding the Affiliate Program and supersede all prior agreements and understandings, whether written or oral.
10.2 If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
