Affiliate Program Agreement
This Affiliate Program Agreement ("Agreement") is entered into between SOUTH POINT HOME FASHIONS,INC ("Company") / Sleep Zone ("Brand") and [Affiliate Name] ("Affiliate") as of [Date].
1. Enrollment in the Affiliate Program
1.1 Affiliate must apply to participate in the Sleep Zone Affiliate Program through the designated application process on the Sleep Zone website.
1.2 Sleep Zone reserves the right to accept or reject any application at its sole discretion.
2. Promotion of Sleep Zone Products
2.1 Affiliate agrees to promote Sleep Zone's products on Affiliate Channels in a professional and ethical manner.
2.2 Affiliate shall not engage in any deceptive, misleading, or unethical marketing practices, including but not limited to false advertising, spamming, or misrepresenting Sleep Zone's products or brand.
3. Commission Structure
3.1 Affiliate will earn a commission on eligible sales of Sleep Zone products generated through Affiliate Channels, as tracked and recorded by Sleep Zone's affiliate tracking system.
3.2 The commission rate and payment terms shall be as set forth in the Sleep Zone Affiliate Program documentation or as otherwise agreed upon in writing between Sleep Zone and Affiliate.
4. Payment
4.1 Sleep Zone shall pay commissions to Affiliate on a regular basis, as specified in the Sleep Zone Affiliate Program documentation or as otherwise agreed upon in writing between Sleep Zone and Affiliate.
4.2 Payment shall be made via the payment method selected by Affiliate during the enrollment process.
5. Term and Termination
5.1 This Agreement shall commence upon acceptance of Affiliate into the Sleep Zone Affiliate Program and shall continue until terminated by either party in accordance with this Agreement.
5.2 Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party.
6. Confidentiality
6.1 Affiliate agrees to maintain the confidentiality of any confidential information disclosed by Sleep Zone in connection with this Agreement.
6.2 Confidential information includes, but is not limited to, commission rates, payment terms, and proprietary marketing materials.
7. Governing Law and Dispute Resolution
7.1 This Agreement shall be governed by and construed in accordance with the laws of [Your Jurisdiction].
7.2 Any dispute arising out of or in connection with this Agreement shall be resolved through good faith negotiation between the parties.
8. Miscellaneous
8.1 This Agreement constitutes the entire agreement between Sleep Zone and Affiliate regarding the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral.
8.2 This Agreement may be amended or modified only by a written agreement signed by both parties.
