FLANNERY BEEF AFFILIATE PROGRAM TERMS

Program Managed Through: AWIN Network
1. PROGRAM OVERVIEW
Flannery Beef LLC ("Company," "we," "us") operates a premium direct-to-consumer dry-aged beef business. This Agreement governs your participation as an affiliate ("Affiliate," "you") in our program managed through the AWIN affiliate network.
2. COMMISSION STRUCTURE
Base Commission: 10% of net sale amount
Cookie Duration: 45 days
Payment Terms: Net 30 days via AWIN
2.1 Commission Exclusions
Commissions are NOT paid on orders that:
- Use any coupon codes, discount codes, or promotional codes
- Are cancelled, returned, or refunded
- Are deemed fraudulent or violate these terms
- Result from trademark bidding violations
- Are placed by the Affiliate or Affiliate's immediate family/household
2.2 Commission Calculations
- Based on net sale amount after taxes, shipping, and fees
- Calculated on successfully delivered orders only
- Subject to return/refund deductions within 60 days of payment
3. AFFILIATE OBLIGATIONS
3.1 Acceptable Promotion Methods
Permitted:
- Content marketing and reviews
- Social media promotion with proper disclosure
- Email marketing to your existing subscribers
- Blog posts and editorial content
- Organic search engine optimization
3.2 Prohibited Activities
Not Permitted:
- Trademark bidding on "Flannery Beef," "FlanneryBeef.com," or variations
- Coupon/deal sites without prior written approval
- Spam email or unsolicited commercial messages
- Misleading advertising or impersonating our brand
- Pop-ups, adware, or parasitic marketing
- Incentivized traffic (cashback, rewards without approval)
- Using our brand name in domain names or social handles
4. BRAND GUIDELINES
4.1 Content Standards
- Maintain premium brand positioning
- Use only approved creative assets
- Include proper FTC disclosure: "#ad" or "affiliate link"
- No false claims about product benefits
- Respect our artisanal, family-business brand story
4.2 Product Positioning
- Emphasize premium quality and dry-aging expertise
- Highlight USDA Prime Holstein beef
- Position for special occasions, gifting, and entertaining
- Maintain focus on culinary excellence
5. PERISHABLE GOODS CONSIDERATIONS
5.1 Shipping Limitations
- Products ship fresh with limited shelf life
- Delivery timing critical for customer satisfaction
- Geographic restrictions may apply during extreme weather
- Customer must be available to receive shipment
5.2 Customer Education
Affiliates should inform customers that:
- Products are perishable and ship fresh
- Proper storage instructions will be included
- Delivery dates should be planned accordingly
- Products can be frozen for extended storage
6. PROGRAM MANAGEMENT
6.1 Application & Approval
- Applications reviewed within 5-7 business days
- Approval at Company's sole discretion
- Must maintain active, quality website/platform
6.2 Performance Standards
- Minimum 1 qualifying sale every 6 months to remain active
- Quality content and appropriate brand representation required
- Regular communication and program compliance expected
7. TERMINATION
Either party may terminate this agreement with 30 days written notice. Immediate termination for:
- Violation of trademark restrictions
- Fraudulent activity or policy violations
- Damage to Company reputation or brand
- Failure to comply with program terms
Post-Termination: All rights to use Company materials terminate immediately. Pending commissions for legitimate sales will be honored per normal payment schedule.
8. INTELLECTUAL PROPERTY
8.1 License Grant
Limited, non-exclusive license to use approved Company logos and marketing materials solely for Program promotion during active participation.
8.2 Restrictions
- No modification of Company logos or materials
- No use implying endorsement beyond affiliate relationship
- All goodwill inures to Company benefit
9. LIMITATION OF LIABILITY
MAXIMUM LIABILITY: Company's total liability shall not exceed commissions paid to Affiliate in the 12 months preceding any claim.
EXCLUDED DAMAGES: No liability for indirect, incidental, or consequential damages, including lost profits or business opportunities.
10. GENERAL PROVISIONS
10.1 Independent Contractor
Affiliate is independent contractor, not employee, partner, or agent of Company.
10.2 Governing Law
Agreement governed by California state law without regard to conflict of law principles.
10.3 Modification
Company may modify terms with 30 days email notice. Continued participation constitutes acceptance.
10.4 Entire Agreement
This Agreement, together with AWIN network terms, constitutes the complete agreement between parties.
