1. Definitions
1.1 "Affiliate" shall refer to the individual or entity participating in the Company's Affiliate Program.
1.2 "Affiliate Program" shall refer to the program operated by the Company through which Affiliates may earn commissions by promoting the Company's products.
1.3 "Commission" shall refer to the compensation paid to Affiliate by the Company for qualifying purchases made by customers referred by Affiliate.
2. Enrollment in the Affiliate Program
2.1 Affiliate shall apply to participate in the Affiliate Program by completing the Share-A-Sale application form provided by the Company.
2.2 The Company reserves the right to approve or deny any application to the Affiliate Program at its sole discretion.
3. Commission Structure
3.1 Affiliate shall be entitled to receive a commission of 15% on the net sales amount (excluding taxes and shipping costs) of all first-time purchases made by customers referred by Affiliate.
3.2 Commissions shall be calculated and paid in accordance with the terms outlined in Section 4 of this Agreement.
4. Commission Payment
4.1 The Company shall pay commissions to Affiliate on a monthly basis, within 30 days following the end of each calendar month.
4.2 Commissions shall be paid via Share-A-Sale's payout method.
4.3 Affiliate shall be solely responsible for providing accurate payment information to the Company to facilitate commission payments.
5. Promotion Guidelines
5.1 Affiliate shall promote the Company's products in a manner that is truthful, accurate, and in compliance with all applicable laws and regulations.
5.2 Affiliate shall not engage in any deceptive, misleading, or unethical marketing practices in connection with the promotion of the Company's products.
6. Termination
6.1 Either Party may terminate this Agreement at any time, with or without cause, by providing written notice to the other Party.
6.2 Upon termination of this Agreement, Affiliate shall immediately cease all promotion of the Company's products and remove any Company-related content from Affiliate's marketing channels.
7. Miscellaneous
7.1 This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.
7.2 This Agreement shall be governed by and construed in accordance with the laws of the United States, without regard to its conflicts of law principles.
8. Social Content Usage
8.1 Affiliate may create and publish content on social media platforms to promote the Company's products. However, the Company agrees that it shall not utilize any of Affiliate's content, including but not limited to images, videos, or written content, on its own social media platforms without prior written permission from the Affiliate.
8.2 The Company acknowledges that any content created and published by Affiliate remains the intellectual property of Affiliate, and the Company shall respect such rights accordingly.
8.3 In the event that the Company wishes to use any of Affiliate's content on its social media platforms, the Company shall seek explicit written consent from the Affiliate before doing so. Any unauthorized use of Affiliate's content shall constitute a breach of this Agreement.
