Affiliate Agreement
This Affiliate Agreement ("Agreement") is entered into by and between Radmor Golf ("Company") and You, the Affiliate ("Affiliate"), collectively referred to as the "Parties."
Purpose
The Company desires to engage the Affiliate to promote and market the Company's products through the Affiliate’s marketing channels in accordance with the terms of this Agreement.
Affiliate Duties
- The Affiliate agrees to promote the Company's products using approved marketing materials provided by the Company.
- The Affiliate will use lawful and ethical means to perform activities under this Agreement and will comply with all applicable laws and regulations, including full FTC disclosures on all promotions and advertisements.
- The Affiliate must clearly disclose that they may receive compensation for promoting the Company's products, in compliance with the Federal Trade Commission guidelines.
Prohibited Activities
- No Bidding on Branded Terms: The Affiliate shall not engage in any search engine marketing, sponsored ads, or bidding activities on keywords that include "Radmor" or any other trademarks of the Company. This includes but is not limited to Google Ads, Bing Ads, and any other search platform.
Commission Structure
The Affiliate will earn a commission based on the terms agreed upon through their ShareASale account. This commission structure is subject to change from time to time.
Payment Terms
Payments will be made via ShareASale, in accordance with ShareASale’s terms and conditions.
Limitation of Liability
The Company shall not be liable to the Affiliate for any indirect, incidental, special, consequential, or punitive damages or lost profits arising out of or relating to this Agreement.
Miscellaneous
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, whether written or oral.
Any amendments or modifications of this Agreement must be in writing and executed by the parties hereto.
