SheMed Weight Loss Affiliate Programme Terms and Conditions

Welcome to the SheMed Weight Management Affiliate Programme!

These terms and conditions ("Terms") govern your participation in the SheMed Weight Management Affiliate Programme ("Programme"). By signing up for the Programme, you (the "Affiliate”/”you”) agree to be bound by these Terms.

1. Programme Overview

The Programme allows Affiliates to earn commissions by promoting SheMed’s weight loss products and services ("Services") to their audience. Affiliates will be provided with unique tracking links and marketing materials to promote the Services. When someone from an Affiliate’s audience clicks on an Affiliate's tracking link (via Awin affiliate management software) and completes a Qualifying Purchase, they become a customer (“Customer”) of the Affiliate and the Affiliate will earn a commission as set out below.

“Qualifying Purchase '' means a purchase of SheMed’s weight management product or service by the Customer and the Customer successfully completing SheMed’s verification process, which checks the Customer’s ID and their medical suitability for the weight management programme.

2. Eligibility

  • You must be at least 18 years of age to participate in the Programme.
  • You must have an active online presence through a website, blog, social media account, or similar digital platform, or alternatively demonstrate a significant contribution or involvement in the field of weight management through professional experience, community outreach, or educational initiatives, targeting an audience keen on exploring and engaging with weight management topics.
  • SheMed reserves the right to reject any Affiliate application for any reason.

3. Affiliate Responsibilities

  • You will promote the Services in accordance with these Terms and all applicable laws and regulations.
  • You will accurately disclose your relationship with SheMed as an affiliate marketer to your audience and any Customer.
  • Affiliates will receive a media pack detailing SheMed branding and logo use for promoting SheMed's Products & Services. It is a condition of this programme that the media pack is complied with and SheMed logos, trademarks, and branding are not used for any other purpose.
  • You will direct customer inquiries related to SheMed Weight Management’s products to SheMed.
  • You will not promote the Services in a manner that is misleading, deceptive, unfair, or which would bring SheMed or its services into disrepute.
  • You will not make any false or misleading claims or statements about the Services.
  • You will not engage in spamming your audience with excessive or unsolicited promotions for the Services. "Spamming" refers to the practice of indiscriminately sending unsolicited, irrelevant, or inappropriate messages or promotions to a large number of recipients or platforms without their consent.
  • You will be solely responsible for the content on your website, blog, social media channel, or other online platform.
  • You will comply with all intellectual property laws with respect to the Services and SheMed’s branding.
  • You will not disclose confidential information to any third parties, especially the commission rate and/or structure. Confidential information refers to all non-public information (whether oral, written, electronically, or otherwise recorded) disclosed directly or indirectly by SheMed.
  • You will comply with all laws relating to the Data Protection Act 2018 and any associated laws or regulations.
  • During the term of the affiliate agreement with SheMed, you are prohibited from promoting competing weight management products or services offered by other companies.

4. Commissions

  • A fixed £100 commission (inclusive of VAT) . 
  • Commissions, solely for qualifying purchases, will be distributed at the end of the month following the previous month, provided that a specified minimum payout threshold is met (currently £100).
  • SheMed reserves the right to modify the commission rate or payout structure at any time with prior 14 days’ notice to Affiliates.
  • The Company reserves the right to withhold or reclaim commissions associated with any fraudulent, misleading, self-referral, or unethical sales tactics identified as being used by the Affiliate.
  • The Affiliate is solely responsible for calculating and paying any applicable taxes, including but not limited to income tax, VAT, or other applicable taxes, arising from the commissions received under this agreement.
     

5. Termination

  • Either Party may terminate your participation in the Programme for any reason, at any time, with or without notice.
  • Upon termination, all rights and obligations under these Terms will cease, except for rights to be paid any accrued but unpaid commissions, the confidentiality and indemnity provisions.
  • Both parties agree that the non-disclosure clause shall survive until six months following the termination date.

6. Disclaimer

  • SheMed makes no warranties or guarantees regarding the profitability and/or effectiveness of the Programme or Services.
  • You are solely responsible for the success of your marketing efforts.

7. Limitation of Liability

  • SheMed will not be liable for any losses or damages arising out of your participation in the Programme, including but not limited to, lost sales, lost profits, or reputational harm.
  • In the event that you alter marketing materials or make false statements to promote the Services, SheMed shall not be held liable for any disputes or required compensations raised by Customers and you may be required to repay all Commission paid to you after your marketing materials or false statements were initially made.

8. Indemnification

You agree to indemnify and hold harmless SheMed, its officers, directors, employees, and agents from and against any and all claims, losses, expenses, damages, and costs (including reasonable solicitors' fees) arising out of or relating to your participation in the Programme or your breach of these Terms.

9. Modification

SheMed reserves the right to modify these Terms at any time. The modified Terms will be effective upon posting on the SheMed Weight Management website. You are responsible for checking the Terms periodically for updates. Your continued participation in the Programme following the posting of modified Terms will constitute your acceptance of the modifications. Should you find the updated policy unacceptable, you shall promptly terminate the Terms.

10. Entire Agreement

These Terms constitute the entire agreement between you and SheMed regarding your participation in the Programme.

11. Governing Law

All matters arising out of or in connection with this Agreement shall be governed by and construed in accordance with English Law and the Parties hereby submit to the exclusive jurisdiction of the English courts.
