This Affiliate Program Agreement ("Agreement") is made by and between ProsperK9 ("Merchant") and the joining affiliate ("Affiliate") upon the date of the Affiliate's acceptance into the ProsperK9 Affiliate Program ("Program"). By participating in the Program, the Affiliate agrees to abide by these terms and conditions.
1. Compliance and Restrictions:
Affiliates must comply with all legal requirements and the ShareASale Terms of Use applicable to affiliate marketing.
Use of unauthorized coupon codes, misleading advertisements, or false claims about ProsperK9 products is strictly prohibited.
Affiliates are not allowed to bid on branded ProsperK9 keywords or use the brand name in any pay-per-click (PPC) advertising without prior written consent from ProsperK9.
All content, posts, and promotional material must be professional, accurate, and uphold ProsperK9’s brand integrity.
2. Commission and Payments:
Commissions are paid on net sales (excluding returns and chargebacks) generated through properly formatted affiliate links.
Payments will be made through the ShareASale platform according to their payment schedule and terms.
3. Intellectual Property:
Affiliates are granted a non-exclusive, non-transferable, revocable right to use ProsperK9’s trademarks, logos, and promotional materials for the purpose of promoting our products within the Program.
All intellectual property rights remain with ProsperK9, and any unauthorized use is prohibited.
4. Termination:
Either party may terminate this Agreement at any time with written notice.
ProsperK9 reserves the right to terminate the Agreement immediately without notice if the Affiliate violates any terms of this Agreement or engages in conduct harmful to ProsperK9 or its reputation.
5. Liability:
ProsperK9 will not be liable for indirect or accidental damages (loss of revenue, commissions) due to affiliate tracking failures, loss of database files, or any results of intents of harm to the Program and/or to our website(s).
The Affiliate will indemnify and hold harmless ProsperK9 from any claims, damages, and expenses (including, without limitation, attorneys' fees) relating to the development, operation, maintenance, and contents of the Affiliate's site.
6. Miscellaneous:
By joining the Program, the Affiliate acknowledges they have reviewed this Agreement and agree to all its terms and conditions.
The Affiliate understands that ProsperK9 may at any time (directly or indirectly) solicit customer referrals on terms that may differ from those contained in this Agreement or operate websites that are similar to or compete with the Affiliate's website.
This Agreement constitutes the entire understanding between ProsperK9 and the Affiliate regarding the Program. All affiliates are also bound by the ShareASale Terms of Use. Any disputes or questions regarding this Agreement should be forwarded to info@prosperk9.com.
