Remote Affiliates Program Terms of Service 

 

These Affiliate Terms of Service (“Affiliate ToS”), are made and entered into by and between your company (“Affiliate,” "You," or “Your”), and Remote Technology, Inc., a Delaware corporation, and owner of Remote.com (“Remote” or "Remote.com"). The Affiliate ToS govern Your participation in the Remote Affiliate Program. We encourage You to read our general Terms and Conditions (available at https://remote.com/terms-and-conditions), and Privacy Policy (available at https://remote.com/privacy-policy), as all of the terms, provisions and agreements set forth therein (except to the extent expressly modified here) are incorporated into these Affiliate ToS by reference with the same force and effect as though fully set forth herein. In the event that the Privacy Policy or Terms of Service conflict with the Affiliate ToS, the Affiliate ToS will control. 

If you are agreeing to the Affiliate ToS on behalf of a business or an individual other than yourself, you represent and warrant that you have authority to bind that business or other individual to the Affiliate ToS, and your agreement to the Affiliate ToS will be treated as the agreement of such business or individual. In that event, “You,” "Your," or “Affiliate” also refers to that business or individual. 

1. Program Mechanics 

The Remote Affiliates Program (the "Program") means the affiliate program operated by Remote in which You advertise and/or promote Remote.com's Services on Your Site to earn Referral Fees. In order to facilitate Your advertisement and/or promotion of the Services, we may make Content available to You in the Impact Platform. As an Affiliate, You use the Platform to embed Tracking Link(s) in the Content which ensures that You are compensated for all referred Clients. All Content is and will remain Remote's intellectual property. 

2. General Terms and Definitions 

As used in the Affiliate ToS, "Affiliate" means a company who has been notified of Acceptance (see Section 3. Enrollment Process, below) into the Program and whose Affiliate status has not been terminated. 

"Content" means any and all banner advertisements, text, links, widgets, data, images, videos, PDFs, graphics and/or any other information, documentation, or materials provided by Remote to You to promote and/or Advertise Remote.com's Services in connection with the Program. 

"Platform" means the Impact partner management platform, owned and operated by Impact (www.impact.com), which will provide infrastructure to support Program operations including tracking and reporting, Content hosting, and will serve as a clearinghouse for the Referral Fees paid by Remote to Affiliates. 

The Platform will provide the Affiliate with a "Tracking Link". It is the Affiliate's responsibility to embed the Tracking Link in the Content to ensure that the Affiliate's referral activity can be tracked and reported by the Platform. 

As used in the Affiliate ToS, "Site" means a website, application or, by extension, other digital, print or broadcast media that You publish, including, but not limited to websites, applications, social media posts, emails, radio, and television advertisements. 

Sign-up” means creating a user account on Remote.com here

Activate” means remitting payment to Remote for the applicable subscription fees. 

3. Enrollment Process 

In order to enroll in the Program, You must complete and submit an accurate Program application ("Application"). We will evaluate Your Application and will notify You of Your acceptance or rejection. We reserve the right, in our sole and absolute discretion, to accept or reject Your Application for any, or no reason, whatsoever. If your Application is accepted, You will receive an email notification of such acceptance ("Acceptance"), with direction to sign-up for the Platform and access to a Tracking Link. If Your Application is temporarily rejected, You are welcome to reapply to the Program. If Your Application is permanently rejected, You will not be able to reapply to the Program. A permanent or temporary rejection may be made for a number of reasons, including, but not limited to, "Unsuitable Sites", such as Sites that: 

  • promote sexually explicit materials; 
  • promote violence; 
  • promote discrimination based on race, sex, religion, nationality; 
  • disability, sexual orientation, or age; 
  • promote illegal activities; 
  • violate intellectual property rights; 
  • promote or contain libelous or defamatory materials; 
  • violate privacy rights; 
  • promote the use of pyramid, "ponzi", or similar investment schemes; 
  • include "Remote.com", or variations or misspellings thereof in their domain names; 
  • disparage Remote
  • are under construction or not live at the time of Application; 
  • do not clearly state an online privacy policy to their visitors; or 
  • provide a portion or all of their Referral Fees to Sites or organizations that violate any of the above criteria. 

You will ensure that the information in Your Application, including Your contact information, is complete and accurate. Upon Acceptance to the Program, You will ensure that your email address and other contact and account information is kept up-to-date at all times in the Platform (Impact). You hereby give us permission to email or otherwise communicate with You regarding any matters relating to the Program and to the Affiliate ToS. You agree that we, or our representatives may store, use, and process Your contact data in connection with this Program, including, but not limited to, account administration, maintenance and support activities, and payment. 

4. Compensation 

As long as You remain an Affiliate, You may choose to receive Referral Fees from Remote for all end users that: 

 

  1. Sign-up with Remote.com within 90 days from the date of first clicking on Your Tracking Link; 
  2. Activate a paid subscription plan within 90 days of the sign up date; 
  3. are not already an existing customer of Remote.com with a paid subscription plan that was active prior to your referral; and 
  4. do not cancel their subscription plan within the first 30 days of Activation. 

 

Any end user that meets all of the foregoing conditions shall be referred to herein as a “Client”. 

For end users that become Clients, You may choose to receive either Referral Fees as set out below or to waive Referral Fees. 

Referral Fees will only be available for the first twelve (12) months from a Client's commencement of Remote’s services (the "Effective Date"), as denoted in the Client’s Master Services Agreement. 

A. REFERRAL FEE 

Should You choose the referral fee option, then, You shall be entitled to a percentage of the Remote Management Fees generated from Clients during the twelve (12) months following the Effective Date (the "Referral Fee") equal to the amounts set out below: 

  • For any month where Clients' Remote Management Fees generate less than $2,500.00 USD in revenue, You will earn 10% of all Remote Management Fees for that month; or 
  • For any month where Clients' Remote Management Fees generate more than $2,500.00 USD in revenue, You will earn 15% of all Remote Management Fees for that month. 

The "Remote Management Fee" represents the monthly fee (minus discounts, taxes, VAT) paid by Clients to Remote for each Employee, also defined in the Client’s applicable Service Level Agreements. It does not include an Employee’s salary or other applicable costs and expenses. 

 

  1. a Client receives a refund for the Services; 
  2. Remote provided Referral Fees to which You were not entitled; or 
  3. Remote, in its sole discretion, determines that a Client was acquired by an Affiliate in breach of the Affiliate ToS. 

 

We are under no obligation to provide a mechanism of appeal to an Affiliate for any Charge-backs. 

Remote reserves the right to adjust the Referral Fees payable to You for any reason, including but not limited to the extent of any reporting errors, Charge-backs, Referral Fees linked to Clients acquired through fraudulent means, Referral Fees linked to Self-Referral(s) from You and/or the Affiliate account, intentional manipulations of the Client acquisition process (as detailed in Sections 1-3), or as required for business reasons, all as determined in Remote's reasonable, good faith discretion. 

Remote further reserves the right to change the conditions that must be met to qualify for Referral Fees, as well as the calculation of Referral Fees at any time by providing notice to You via email communication.
