Sipwell Wine Co. Online Affiliate Program Agreement
This Online Affiliate Program Agreement ("Agreement") is made effective as of the date signed, between Sipwell Wine Co. ("Company"), and the individual or entity participating in the Company's affiliate program ("Affiliate").
1. Affiliate Program Participation:
1.1 By participating in the Company's affiliate program, Affiliate agrees to abide by the terms and conditions set forth in this Agreement.
1.2 Affiliate must be at least 21 years of age and reside in the United States to participate in the program.
2. Commission Structure:
2.1 Affiliate will receive a commission of 10% for each qualifying purchase made by customers referred by Affiliate's unique affiliate link.
2.2 Commissions will be paid on net sales, excluding taxes, shipping, and returns.
2.3 Commissions are capped at 60 days following the initial click generated by the affiliate link.
3. Affiliate Responsibilities:
3.1 Affiliate agrees to promote Company's products or services in a lawful and ethical manner.
3.2 Affiliate will not engage in any deceptive, misleading, or unethical marketing practices.
3.3 Affiliate will be responsible for any taxes associated with commissions earned through the affiliate program.
4. Company Obligations:
4.1 Company agrees to provide Affiliate with a unique affiliate link for tracking purposes.
4.2 Company will track qualifying purchases made through Affiliate's affiliate link and provide reports detailing commissions earned.
4.3 Company will pay commissions to Affiliate within 60 days following the end of each commission period.
5. Termination:
5.1 Either party may terminate this Agreement at any time for any reason upon written notice to the other party.
5.2 Upon termination, Affiliate will cease promoting Company's products or services and remove all affiliate links and materials.
6. Confidentiality:
6.1 Both parties agree to keep confidential any proprietary information shared during the course of this Agreement.
6.2 Confidential information includes, but is not limited to, customer data, marketing strategies, and financial information.
7. Governing Law:
7.1 This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflicts of law principles.
7.2 Any disputes arising under this Agreement shall be resolved exclusively in the state or federal courts located in San Diego County, California.
8. Entire Agreement:
8.1 This Agreement constitutes the entire understanding between the parties concerning the subject matter herein and supersedes all prior agreements and understandings, whether written or oral.
IN WITNESS WHEREOF, the parties hereto have executed this Agreement as of the effective date first above written.
