Welcome to the Nightingale Ice Cream Affiliate Program (the “Program”). These Terms and Conditions (“Terms”) govern your participation in the Program operated by Nightingale Ice Cream, LLC (“Nightingale,” “we,” “our,” or “us”) through the Awin affiliate network (“Awin”). 

By joining and participating in the Program, you (“Affiliate,” “you,” or “your”) agree to be bound by these Terms, as well as Awin’s Network Terms and Conditions. 

1. Program Overview 

The Nightingale Ice Cream Affiliate Program allows approved affiliates to earn commissions by promoting Nightingale Ice Cream products through tracked affiliate links provided by Awin. Commissions are paid for qualified purchases made by referred customers in accordance with these Terms. 

2. Enrollment 

To join, you must: 

Apply through Awin.com and agree to their affiliate terms. 

Accurately complete all application information. 

Be approved by Nightingale Ice Cream. Approval is at our sole discretion and may be revoked at any time. 

We reserve the right to decline or remove affiliates for reasons including, but not limited to, inappropriate content, misrepresentation of the brand, or violation of these Terms. 

3. Affiliate Responsibilities 

You agree to: 

Promote Nightingale Ice Cream honestly, accurately, and in a brand-appropriate manner. 

Use only approved marketing assets (logos, images, copy) provided through Awin or directly by Nightingale. 

Comply with all applicable laws and regulations, including FTC endorsement guidelines regarding affiliate disclosure. 

Clearly disclose your affiliate relationship on all platforms (e.g., “I may earn a commission from purchases made through this link”). 

Refrain from any misleading, spammy, or unethical marketing practices. 

You may not: 

Use paid search ads bidding on “Nightingale Ice Cream” or misspellings thereof. 

Use unauthorized coupons, deals, or discount codes. 

Represent yourself as an employee, partner, or official representative of Nightingale Ice Cream. 

Promote through websites or content that include hate speech, adult material, illegal activity, or otherwise inappropriate content. 

4. Commissions and Payouts 

Commission rates, cookie durations, and qualifying transaction details are defined within Awin’s platform. 

Only valid, completed, and non-returned orders qualify for commission. 

Commissions are tracked and paid through Awin, subject to their standard payment schedule and verification process. 

We reserve the right to withhold or reverse commissions for any fraudulent, canceled, or refunded transactions. 

5. Intellectual Property 

Nightingale Ice Cream retains all rights to its trademarks, logos, and creative materials. You are granted a limited, non-exclusive, revocable license to use these assets solely for participation in the Program. You may not alter or create derivative works of any Nightingale assets. 

6. Term and Termination 

Either party may terminate participation in the Program at any time, with or without cause, by providing written notice or removing the relationship through Awin. 
Upon termination, you must immediately remove all affiliate links, creative assets, and references to Nightingale Ice Cream from your channels. 

7. Limitation of Liability 

We make no express or implied warranties regarding the Program or any Nightingale products. 
Nightingale Ice Cream shall not be liable for indirect, incidental, special, or consequential damages (including lost profits) arising in connection with the Program. 

8. Modification of Terms 

We may update or modify these Terms at any time by posting a revised version on our website or within Awin. Continued participation in the Program after any changes constitutes acceptance of the revised Terms. 

9. Independent Contractor Relationship 

Your participation in the Program does not create any partnership, joint venture, employment, or agency relationship between you and Nightingale Ice Cream. 

10. Governing Law 

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to conflict of law principles.
