This Affiliate Program Agreement ("Agreement") is entered into by and between SPLAT Action Art Studio ("Merchant") and affiliates participating in the SPLAT Affiliate Program ("Affiliate").
1. Enrollment in the Program
a. By enrolling in the SPLAT Affiliate Program, Affiliate agrees to comply with all terms and conditions outlined in this Agreement.
2. Commissions
a. Merchant agrees to pay affiliates a commission of 20% on each sale generated through the affiliate's unique tracking link.
b. Commissions will be paid monthly, and payment will be made through the ShareASale platform.
3. Affiliate's Responsibilities
a. Affiliate shall only use ethical and legal methods to promote SPLAT and shall not engage in any activities that may harm SPLAT's reputation.
b. Affiliate shall comply with all applicable laws and regulations.
c. Affiliate shall not engage in any deceptive or misleading advertising practices.
4. Restrictions
a. Affiliates are prohibited from bidding on SPLAT's trademarked terms, variations, or misspellings in any online advertising campaigns.
b. Affiliates are not allowed to use any misleading or false advertising to promote SPLAT.
c. Affiliates are prohibited from using coupon sites to promote SPLAT unless explicitly approved by SPLAT.
5. Termination
a. Either party may terminate this Agreement at any time with or without cause. SPLAT reserves the right to terminate the Agreement immediately for any violation of the terms outlined herein.
6. Miscellaneous
a. This Agreement constitutes the entire understanding between SPLAT and the Affiliate and supersedes all prior agreements.
b. This Agreement shall be governed by and construed in accordance with the laws of the state of California.
c. Any disputes arising from or in connection with this Agreement shall be resolved through arbitration in accordance with the rules of the American Arbitration Association.
By enrolling in the SPLAT Affiliate Program, Affiliate acknowledges that they have read, understood, and agreed to all terms outlined in this Agreement.
