City Boy Coffee Affiliate Program Agreement
This Affiliate Program Agreement (the “Agreement”) is made and entered into by and between City Boy Coffee (“we,” “us,” or “our”), and you, the affiliate (“you,” “your,” or “Affiliate”).
1. Overview and Term
This Agreement outlines the terms and conditions for your participation in the City Boy Coffee Affiliate Program (the “Program”). The Program allows you to advertise our products and services and earn commissions. This Agreement is effective from the time that your application is accepted and remains valid only for the time that you remain in our Affiliate program, as administered by ShareASale. At any time, City Boy Coffee reserves the right to remove or deny your participation in this program, and at that time this agreement will be terminated.
2. Approval or Rejection of the Application
We reserve the right to approve or reject any Affiliate Program Application in our sole and absolute discretion. As an Affiliate, you are responsible for adhering to our promotional guidelines, correctly structuring Affiliate links, and complying with legal requirements. You will have no legal recourse against us for the rejection of your Affiliate Program Application.
3. Advertising and Promotions
As an Affiliate, you are authorized to use only the approved methods for advertising and promoting our products. It's important that all your promotional activities align with our brand values. Specifically, you are prohibited from purchasing pay-per-click (PPC) advertising that uses our brand name, product names, or any keywords that are listed within our ShareASale affiliate portal. Further, you may not promote discounts for our products unless you have a specific written agreement with City Boy Coffee that allows such promotion.
4. Commissions
For a sale to generate a commission to an Affiliate, the customer must complete the order form and remit full payment for the product. Commissions will only be paid on sales that are made when the customer clicks through qualified, correctly structured Affiliate links. Properly coded links are the sole responsibility of the affiliate.
You will earn a $3 commission on every sale with additional $3 bonuses added for sales that exceed $32, $57, and $81 – essentially giving you an additional $3 for every bag sold up to 4.
5. Payment
Commissions are paid ShareASale, and ShareASale is responsible for overseeing all payments per their terms of service. City Boy Coffee will not issue direct commissions, nor will it be held liable for payments not issued by ShareASale. ShareASale offers various payment methods through their platform. You can select which method works best for you based on the available options. Payments are generally sent out on the 20th of every month, for the previous month’s commissions.
Please note that the “Your Current Balance” field includes transactions from the current month that are not yet eligible for payment. Take your current balance, and subtract all of the transactions for the current month. This value needs to be over your payment threshold before a payment is issued.
6. Intellectual Property and License
You are granted a non-exclusive, revocable right to use our trademarks and promotional materials as outlined in this Agreement. All intellectual property rights remain with City Boy Coffee.
7. Liability
City Boy Coffee will not be liable for indirect or accidental damages (loss of revenue, commissions) due to affiliate tracking failures, loss of database files, or any results of intents of harm to the Program and/or to our website(s).
8. Legal and Jurisdiction
This Agreement shall be governed by the laws of New York, NY, United States. Any disputes arising from this Agreement shall be adjudicated in the jurisdiction of New York, NY.
9. Confidentiality and Indemnification
Both parties agree to maintain confidentiality regarding proprietary information. Each party agrees to indemnify and hold harmless the other from any claims arising from their respective obligations under this Agreement.
10. Term and Termination
Either you or we may end this Agreement AT ANY TIME, with or without cause, by giving the other party written notice.
