This Affiliate Agreement ("Agreement") is entered into by and between Club Sweat Digital, hereinafter referred to as the "Company," and the undersigned affiliate, hereinafter referred to as the "Affiliate."
1. AFFILIATE OBLIGATIONS:
1.1 Trademark Usage:
The Affiliate agrees to promote Club Sweat Digital in accordance with the provided marketing materials and guidelines. The Club Sweat trademark is the exclusive property of the Company, and any unauthorized use is strictly prohibited.
1.2 Tasteful Content:
The Affiliate shall create and distribute content that is tasteful, ethical, and aligns with the values of Club Sweat Digital. Any content found to be offensive or harmful may result in immediate termination of this agreement.
1.3 Termination Rights:
The Company reserves the right to terminate this partnership at its discretion, for any reason, with or without cause. The Affiliate may also terminate this agreement with written notice.
2. PPC COMPLIANCE:
2.1 Pay Per Click (PPC):
Affiliates engaging in PPC campaigns must adhere to all applicable laws and regulations. The use of trademarked terms in PPC campaigns is strictly prohibited without prior written consent from the Company.
3. COUPON COMPLIANCE:
3.1 Coupon Codes:
Affiliates may only use official coupon codes provided by the Company for promotion. The creation of unauthorized coupon codes is strictly prohibited and may result in the termination of this agreement.
4. SALES TAX & GOVERNMENT REGULATIONS:
4.1 Responsibility:
The Affiliate is solely responsible for compliance with all applicable sales tax and government regulations related to the promotion and sale of Club Sweat Digital products in their jurisdiction.
5. CONFIDENTIALITY:
5.1 Non-Disclosure:
The Affiliate agrees not to disclose any confidential information obtained during the course of this agreement, including but not limited to proprietary business information, customer lists, and marketing strategies.
6. COMPENSATION:
6.1 Commissions:
The Affiliate will receive commissions for qualified sales made through their unique affiliate link, as outlined in the affiliate program details.
7. MISCELLANEOUS:
7.1 Governing Law:
This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law principles.
