AFFILIATE AGREEMENT

THIS IS A LEGAL AGREEMENT BETWEEN YOU AND FOOTPRINTS LANGUAGE EDUCATION LTD. (DBA MYTEFL.COM).
BY SUBMITTING THE ONLINE APPLICATION, YOU AGREE THAT YOU HAVE READ AND UNDERSTAND THE TERMS AND CONDITIONS OF THIS AGREEMENT AND THAT YOU AGREE TO BE LEGALLY RESPONSIBLE FOR EACH AND EVERY TERM AND CONDITION.
1. Overview
This Agreement contains the complete terms and conditions that apply to you becoming an affiliate in MyTEFL.com’s Affiliate Program. The purpose of this Agreement is to allow HTML linking between your website and the MyTEFL.com website.
Throughout this Agreement, “we,” “us,” and “our” refer to MyTEFL.com (Footprints Language Education Ltd.), and “you,” “your,” and “yours” refer to the affiliate.
2. Affiliate Obligations
2.1 Enrollment & Site Suitability
To begin the enrollment process, you will complete and submit the online application via the Awin server.
We reserve the right, in our sole discretion, to reject your application at any time if your site engages in any of the following, including but not limited to:
Promoting sexually explicit material
Promoting violence
Promoting discrimination on the basis of race, sex, religion, nationality, disability, sexual orientation, or age
Promoting illegal activities
Infringing any copyright, trademark, or other intellectual property right
Using “mytefl” (or any variation or misspelling thereof) in its domain name
Containing content that is unlawful, harmful, threatening, defamatory, obscene, harassing, or otherwise objectionable
Offering software downloads that divert commission tracking from other affiliates
Presenting itself in a way that suggests affiliation with MyTEFL beyond the scope of our approved linking arrangements
2.2 Use of Affiliate Resources
As a member of MyTEFL’s Affiliate Program, you will have access to our Affiliate Account Manager:
Review program details and past newsletters
Download HTML code and banner creatives
Generate tracking codes for coupons and deals
You must use the exact HTML code we provide for each banner or link so that visits from your site are accurately tracked.
2.3 Placement & Compliance
We may review your placement of links at any time and require changes to comply with our guidelines.
You are responsible for maintaining and updating your site. We may monitor it to ensure it is current and performing well.
2.4 Intellectual Property
You must comply with all applicable copyright and trademark laws.
Obtain express permission before using any third‑party content. We are not responsible for any infringement on your site.
2.5 Consumer Protection & Disclosure
You must comply with national and international consumer protection laws (e.g., CAN‑SPAM).
Disclose your affiliate relationship with MyTEFL somewhere on your website.
3. MyTEFL Rights and Obligations
3.1 Monitoring & Enforcement
We may monitor your site to ensure compliance with this Agreement.
If you fail to make required changes, we may terminate your participation immediately.
3.2 Fraud & Abuse
We reserve the right to terminate this Agreement without notice if you commit fraud or abuse the Affiliate Program.
No commissions will be paid on fraudulent sales.
3.3 Agreement Term
This Agreement begins upon our acceptance of your application and continues until terminated under Section 4.
4. Termination
4.1 Disciplinary Actions
Violations of this Agreement may result in:
A warning
Reduced commission rates for a period
Immediate termination
4.2 Mutual Termination
Either you or we may terminate this Agreement at any time, with or without cause, directly through the Awin (formerly ShareASale) dashboard. This Agreement will end immediately if you breach any of its terms.
5. Modification
We may modify any terms of this Agreement at our sole discretion. You will be notified by email of any changes. Continued participation after notice constitutes acceptance of the new terms.
6. Payment
All tracking and payment are handled by our third‑party network, Awin. Please review their payment terms.
7. Access to Affiliate Interface
You will create a password to access Awin's secure affiliate interface, where you can view performance reports, commissions earned, and more.
8. Promotion Restrictions
8.1 Permitted & Prohibited Advertising
You may promote MyTEFL on your own site but must not:
Engage in “spamming” or unsolicited commercial email (UCE)
Misrepresent yourself as MyTEFL
You may email existing customers/subscribers with an opt‑out option.
8.2 PPC & Trademark Bidding
Bidding on MyTEFL’s trademarks (e.g., mytefl.com, mytefl) in Pay‑Per‑Click campaigns that redirect directly to MyTEFL without your site is prohibited and may lead to termination without notice.
8.3 Cybersquatting
Use of URLs that imitate or infringe on the myTEFL domain is prohibited.
8.4 Parasiteware & Deceptive Pop‑Ups
You may not use interstitials, toolbars, hidden pop‑ups, or any software that overwrites or intercepts tracking cookies.
8.5 Coupons & Promo Codes
You may promote affiliate‑specific coupons and published offers on mytefl.com.
You may not promote internal or email‑only codes.
Coupons must clearly state the actual discount and final price or note if the discount is applied during checkout.
“Pseudo Couponing” (promising nonexistent discounts) is prohibited.
9. Grant of Licenses
9.1 Licensed Materials
We grant you a non‑exclusive, non‑transferable, revocable license to:
Access our site via HTML links
Use our logos, trade names, and trademarks provided to you
9.2 Use Restrictions
All use of our trademarks must benefit myTEFL.
Neither party may use the other’s materials in a disparaging or misleading manner.
10. Disclaimer
MYTEFL MAKES NO EXPRESS OR IMPLIED WARRANTIES REGARDING ITS SERVICE, WEBSITE, PRODUCTS OR SERVICES. ALL IMPLIED WARRANTIES OF FITNESS, MERCHANTABILITY, AND NON‑INFRINGEMENT ARE DISCLAIMED. WE DO NOT GUARANTEE UNINTERRUPTED OR ERROR‑FREE OPERATION AND ARE NOT LIABLE FOR ANY INTERRUPTIONS OR ERRORS.
11. Representations and Warranties
You represent and warrant that:
This Agreement is valid, binding, and enforceable.
You have the authority to enter into this Agreement.
You own or control all rights granted to us under this Agreement.
12. Limitations of Liability
WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES (INCLUDING LOSS OF REVENUE, GOODWILL, PROFITS, OR BUSINESS) UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY. NOTWITHSTANDING ANYTHING TO THE CONTRARY, OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL COMMISSION FEES PAID TO YOU UNDER THIS AGREEMENT.
13. Indemnification
You agree to indemnify and hold harmless myTEFL, its affiliates, and their officers, directors, employees, agents, and partners against any losses, liabilities, claims, or expenses (including legal fees) arising from:
Claims that our use of your affiliate trademarks infringes third‑party rights.
Your breach of any representation, warranty, or agreement.
Any claim related to your site content.
14. Confidentiality
All confidential information exchanged under this Agreement remains the property of the disclosing party. Neither party may use or disclose the other’s confidential information without express written permission.
15. Miscellaneous
15.1 Independent Contractor: You are an independent contractor; no partnership or agency is created.
15.2 Assignment: Neither party may assign this Agreement except in connection with the sale of substantially all assets.
15.3 Governing Law: This Agreement is governed by the laws of British Columbia, Canada.
15.4 Amendments: Any amendment must be in writing and signed by both parties.
15.5 Entire Agreement: This document constitutes the entire Agreement and supersedes all prior communications.
15.6 Severability: If any provision is held invalid, it will be limited or removed to the minimum extent necessary, and the remainder will remain in full force and effect.
YOU INDICATE YOUR APPROVAL OF THIS AGREEMENT AND DESIRE TO BECOME AN AFFILIATE BY SUBMITTING THE APPLICATION AND/OR COLLECTING COMMISSION FEES UNDER THE PROGRAM.
