Program Overview: a. The Affiliate will promote and endorse the Company's Issei Mochi Gummies products through various online platforms. b. The Affiliate will receive a commission for sales generated through their unique affiliate link or code. c. Both parties agree to abide by the terms and conditions set forth in this Agreement.Affiliate Responsibilities: a. The Affiliate will represent the Company's brand and products in a positive and professional manner. b. The Affiliate will create high-quality and original content related to the Company's Issei Mochi Gummies products. c. The Affiliate will comply with all applicable laws, regulations, and industry standards in their marketing and promotional activities. d. The Affiliate will not engage in any activities that may harm the Company's reputation or brand image. e. The Affiliate will promptly disclose any potential conflicts of interest that may arise during the course of the program.Promotion and Content: a. The Affiliate will actively promote the Company's Issei Mochi Gummies products through their social media channels, website, or other approved platforms. b. The Affiliate will ensure that all promotional content is accurate, truthful, and does not misrepresent the Company or its products. c. The Affiliate will clearly disclose their relationship with the Company and the fact that they are participating in an affiliate program when promoting the Mochi Gummies products. d. The Affiliate will not use any deceptive or misleading tactics to drive traffic or sales to the Company's website or products. e. The Affiliate will not engage in any negative or defamatory promotions that may harm the Company or its brand reputation.Commission and Payment: a. The Company will pay the Affiliate a commission for each sale made through their unique affiliate link or code, as outlined in the program details. b. The Affiliate will provide accurate and up-to-date payment information to facilitate commission payments. c. The Company reserves the right to review and validate all sales referred by the Affiliate before issuing commission payments. d. The Company will pay the Affiliate within a specified payment cycle, as agreed upon in the program details.Termination: a. Either party may terminate this Agreement at any time by providing written notice to the other party. b. The Company reserves the right to terminate the Affiliate's participation in the program immediately if the Affiliate breaches any of the terms outlined in this Agreement. c. Upon termination, the Affiliate will no longer be eligible to earn commissions from sales generated through their affiliate link or code.PPC Bidding Restriction: In order to maintain fair competition and protect the integrity of our brand, the Company imposes the following restrictions on PPC bidding by Affiliates:a. Prohibited PPC Keywords: Affiliates are strictly prohibited from using any of the following keywords or variations thereof in their PPC campaigns:- Mochi Gummies- Issei Mochi Gummies- Mochi- Gummies- Issei- Candy- Snack- Japanese Gummies- Japanese Candy- Japanese Snackb. Negative Keywords: Affiliates should include the agreed-upon list of negative keywords in their PPC campaigns. These negative keywords should be added to prevent the display of ads for irrelevant or misleading searches.c. Unauthorized Brand Usage: Affiliates are not allowed to use the Company's brand name, trademarks, or any variations thereof in their PPC campaigns. This includes, but is not limited to, displaying ads that directly use the Company's brand name or bid on keywords incorporating the brand name.Compliance Monitoring: The Company reserves the right to monitor Affiliate activities to ensure compliance with the PPC bidding restrictions outlined in this Agreement. Monitoring may include but is not limited to reviewing Affiliate's PPC campaigns, ad copies, keywords, and landing pages.Consequences of Non-Compliance: In the event of non-compliance with the PPC bidding restrictions outlined in this Agreement, the Company reserves the right to take appropriate actions, including but not limited to: a. Suspension or termination of the Affiliate's participation in the program. b. Withholding or forfeiture of any pending or future commission payments. c. Legal action, if deemed necessary.Agreement Term and Termination: This Agreement is effective as of the date of acceptance by the Affiliate and shall remain in effect unless terminated by either party. Either party may terminate this Agreement at any time, for any reason, by providing written notice to the other party.Modifications: The Company reserves the right to modify the terms and conditions of this Agreement at any time, without prior notice. Affiliates will be notified of any modifications and are responsible for reviewing the updated Agreement. Continued participation in the program after modifications constitutes acceptance of the revised terms.By participating in the Mochi Gummies Influencer/Content Creator Affiliate Program, both parties acknowledge that they have read, understood, and agreed to the terms and conditions outlined in this Agreement.
