Affiliate Marketing Agreement Terms for Boost Oxygen Affiliates. This Affiliate Marketing Agreement (the "Agreement") is entered into by and between Boost Oxygen ("Company") and the affiliate ("Affiliate") (collectively referred to as the "Parties") on the effective date of Affiliate's participation in the Company's affiliate marketing program.
1. Enrollment and Acceptance
1.1. Affiliate must submit a completed application to join the affiliate program.
1.2. Company reserves the right to accept or decline Affiliate's application at its sole discretion.
1.3. Upon acceptance, Affiliate agrees to comply with the terms and conditions set forth in this Agreement.
2. Affiliate Obligations
2.1. Affiliate agrees to promote Company's products and services in a professional and ethical manner.
2.2. Affiliate shall not engage in any deceptive, misleading, or unfair practices that may harm the Company's reputation.
2.3. Affiliate shall not make any false or misleading claims about Company's products or services.
3. PPC Restriction Rules
3.1. Affiliate shall not engage in any Pay-Per-Click (PPC) advertising using the Boost Oxygen brand or trademarked terms without prior written consent from the Company.
3.2. Affiliate shall not bid on any variations or misspellings of the Boost Oxygen brand or trademarked terms in any PPC campaigns.
3.3. Affiliate shall not use the Boost Oxygen brand or trademarked terms in the display URL or domain name of any PPC advertisements.
3.4. Affiliate shall not use the Boost Oxygen brand or trademarked terms in the ad copy or headlines of any PPC advertisements.
3.5. Affiliate shall not engage in any "brand poaching" or "brand hijacking" tactics in PPC campaigns.
4. Commission and Payment
4.1. Affiliate shall earn a commission for each qualified sale generated through their unique affiliate link.
4.2. Commission rates and payment terms shall be outlined in the Company's affiliate program documentation.
4.3. Company reserves the right to modify commission rates and payment terms at any time with prior notice to Affiliate.
5. Termination
5.1. Either Party may terminate this Agreement at any time for any reason by providing written notice to the other Party.
5.2. Upon termination, Affiliate shall immediately cease all promotion of Company's products and services.
5.3. Any outstanding commissions earned prior to termination shall be paid to Affiliate in accordance with the agreed-upon payment terms.
6. Miscellaneous
6.1. This Agreement constitutes the entire agreement between the Parties and supersedes all prior discussions, negotiations, and understandings.
6.2. This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Company is registered.
6.3. Any disputes arising out of or in connection with this Agreement shall be resolved through mediation or binding arbitration.
By participating in the Boost Oxygen affiliate marketing program, Affiliate agrees to abide by the terms and conditions set forth in this Agreement.
