Bonner Private Wine Partnership, an LLC registered under the laws of Florida, with its principal place of business at 636 E Atlantic Ave Suite 201, Delray Beach, FL 33483 (hereinafter referred to as "Company").
And,
ShareASale Affiliate, (hereinafter referred to as "Affiliate").
WHEREAS, Bonner Private Wine Partnership operates a wine club and offers wine-related products and services.
WHEREAS, Affiliate is interested in promoting Bonner Private Wine Partnership's products and services to potential customers.
NOW, THEREFORE, in consideration of the promises and covenants contained herein, the parties hereby agree as follows:
1. ENROLLMENT IN THE AFFILIATE PROGRAM
1.1 Application: Affiliate shall submit an application to join Bonner Private Wine Partnership's affiliate program through the Company's designated online portal.
1.2 Acceptance: Bonner Private Wine Partnership reserves the right to accept or reject any application at its sole discretion.
2. AFFILIATE OBLIGATIONS
2.1 Promotion: Affiliate shall use best efforts to promote Bonner Private Wine Partnership's products and services in accordance with Bonner Private Wine Partnership's guidelines, utilizing approved marketing materials, and only using ethical and legal marketing methods.
2.2 Compliance: Affiliate shall comply with all applicable laws, rules, and regulations in the promotion of Bonner Private Wine Partnership's products and services.
2.3 No Misrepresentation: Affiliate shall not make any false or misleading statements or representations regarding Bonner Private Wine Partnership's products or services.
2.4 Email Marketing: If Affiliate utilizes email marketing, Affiliate shall comply with all applicable laws and obtain necessary consents for email marketing.
3. COMPANY OBLIGATIONS
3.1 Commission Payment: Bonner Private Wine Partnership shall pay Affiliate a commission for each referred customer who makes a purchase through the affiliate link, as specified in the affiliate dashboard.
3.2 Tracking: Bonner Private Wine Partnership shall provide Affiliate with unique tracking links to monitor referrals and sales.
3.3 Access to Marketing Materials: Bonner Private Wine Partnership shall provide Affiliate with access to marketing materials and support as deemed appropriate by Bonner Private Wine Partnership.
4. PAYMENT AND COMMISSIONS
4.1 Payment Schedule: Bonner Private Wine Partnership shall pay commissions to Affiliate on a cost per acquisiton basis, subject to a minimum payment threshold specified in the affiliate dashboard.
4.2 Payment Method: Payment shall be made to the Affiliate via ShareASale payment platform to the Affiliate's specified account.
5. TERM AND TERMINATION
5.1 Term: This Agreement shall commence on the Effective Date and continue until terminated by either party in accordance with the terms herein.
5.2 Termination: Either party may terminate this Agreement at any time with or without cause, upon written notice to the other party.
6. CONFIDENTIALITY
Both parties agree to keep all non-public information obtained under this Agreement confidential and not disclose it to any third party, except as required by law.
7. INDEMNIFICATION
Affiliate shall indemnify and hold Bonner Private Wine Partnership harmless from any claims, liabilities, losses, or expenses arising from the Affiliate's activities under this Agreement.
8. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of Florida, USA.
9. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings.
