LeSportsac reserves all of its rights to the Trademarks.
Affiliate shall have no rights to, and shall not in any way, use or incorporate all or any part of the Trademarks nor otherwise refer to “LeSportsac” in its corporate name or domain name other than expressly granted by LeSportsac.
Affiliate hereby recognizes that LeSportsac is and shall be the owner and interest holder of all of the Trademarks, copyrights, designs, the goodwill and all other intellectual property rights associated with Licensed Products (“IP Rights”), and acknowledges and agrees that Affiliate has no right, title or interest in and to any of the IP Rights, except the right to use the same in accordance with the terms and conditions under ShareASale Terms of Use. Affiliate, to the fullest extent permitted by law, shall not dispute or challenge LeSportsac's ownership or validity of the IP Rights or any registration or application for the registration thereof. Affiliate shall neither acquire nor assert copyright ownership or any other proprietary rights in the IP Rights or in any derivation, adaptation, compilations, collective works, variation or name thereof. Affiliate covenants that any new materials created by Affiliate or by any third-party Affiliate has engaged for use are original to Affiliate or such third party and do not violate the rights of any other Person.
