Affiliate Program Agreement
This Affiliate Program Agreement ("Agreement") is entered into between Healthspan Lab LLC, hereinafter referred to as "Healthspan," and the affiliate ("Affiliate") enrolled through ShareASale, collectively referred to as the "Parties."
1. Trademark Usage:
1.1. Affiliate may use the trademark "REDi" solely in compliance with applicable regulations and within the marketplace where it is used as permitted by Healthspan.
2. Email Marketing Policy:
2.1. Affiliate shall adhere to Healthspan's email marketing policies to protect the brand's integrity and ensure compliance with applicable laws and regulations.
3. Grounds for Termination:
3.1. Healthspan reserves the right to terminate this agreement if:
3.1.1. Affiliate engages in unethical, fraudulent, or illegal activities.
3.1.2. Affiliate breaches any terms of this Agreement or applicable laws.
3.1.3. Affiliate's promotional methods tarnish the reputation of Healthspan.
3.1.4. Healthspan determines termination is in its best interest.
4. Social Media Policy:
4.1. Affiliate shall adhere to Healthspan's social media guidelines when promoting Healthspan products or services on social media platforms.
5. Coupons and Deals:
5.1. Affiliate shall use coupons and deals provided by Healthspan within the specified terms and guidelines set by Healthspan. Unauthorized use of coupons or deals is prohibited.
6. Rules for Pay-Per-Click (PPC) Bidding:
6.1. Affiliate may not bid on Healthspan's trademarked term "REDi", including variations and misspellings, in PPC campaigns.
6.2. Affiliate shall not create PPC campaigns that may confuse consumers or imply affiliation with Healthspan.
7. Special Commission Rules:
7.1. Healthspan reserves the right to establish special commission arrangements for specific Affiliates or promotional periods. These arrangements will be communicated to affected Affiliates in writing.
8. Miscellaneous:
8.1. This Agreement does not create an exclusive relationship between the Parties.
8.2. Any modification to this Agreement must be in writing and signed by both Parties.
8.3. This Agreement shall be governed by and construed in accordance with the laws of the state of Nevada, without regard to its conflict of law principles.
9. Term and Termination:
9.1. This Agreement shall commence upon acceptance by Healthspan and shall continue until terminated by either Party.
10. Acceptance:
By enrolling in the Healthspan Lab LLC ShareASale Affiliate Program, Affiliate acknowledges and agrees to the terms and conditions outlined in this Agreement.
