1. Enrollment in the Program
1.1. The Affiliate agrees to participate in the Merchant's affiliate program as an independent contractor.
1.2. The Affiliate acknowledges that acceptance into the program is at the sole discretion of the Merchant and may be revoked or terminated at any time without prior notice.
2. Promotion of Products
2.1. The Affiliate will promote the Merchant's products using the provided tracking links and marketing materials.
2.2. The Affiliate agrees to adhere to all applicable laws and regulations when promoting the Merchant's products and will not engage in any unethical or misleading marketing practices.
3. Commissions
3.1. The Merchant agrees to pay the Affiliate a commission for each sale or lead generated through the Affiliate's unique tracking links, as outlined in the program details.
3.2. Commissions will be paid according to the agreed-upon payment schedule, typically [monthly/quarterly], provided the minimum payout threshold is met.
4. Tracking and Reporting
4.1. The Merchant will provide the Affiliate with access to tracking and reporting tools to monitor referral activity and commissions earned.
5. Termination
5.1. Either party may terminate this Agreement at any time for any reason by providing written notice to the other party.
5.2. The Merchant reserves the right to terminate an Affiliate's participation in the program immediately for any breach of this Agreement or if the Affiliate engages in fraudulent or unethical marketing practices.
6. Confidentiality
6.1. The Affiliate agrees to keep all confidential information obtained through participation in the program, including customer data and proprietary information, confidential and not disclose it to third parties.
7. Limitation of Liability
7.1. The Merchant shall not be liable for any indirect, special, or consequential damages arising from the Affiliate's participation in the program.
8. Governing Law
8.1. This Agreement shall be governed by and construed in accordance with the laws.
9. Entire Agreement
9.1. This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, whether written or oral.
10. Amendments
10.1. The Merchant reserves the right to modify this Agreement at any time, with notice to the Affiliate.
