This Affiliate Program Agreement ("Agreement") is entered into between Arden Cove LLC, a company incorporated under the laws of the United States of America, with its principal office located in San Francisco ("Company"), and the individual or entity ("Affiliate") participating in the Company's Affiliate Program ("Program"). This Agreement is effective as of 10/2/2023.
1. Program Participation
By participating in the Program, Affiliate agrees to comply with all the terms and conditions set forth in this Agreement. Company reserves the right to terminate Affiliate's participation in the Program at any time for violation of the terms of this Agreement or for any other reason deemed necessary by Company.
2. Promotion and Marketing
Affiliate shall promote Company's products and services in a professional manner and shall not engage in any deceptive, misleading, or unethical marketing practices. Affiliate agrees not to post or share any affiliate codes, links, or promotional materials on coupon websites or any similar platforms.
3. Prohibited Activities
Affiliate expressly agrees not to:
a) Post affiliate codes, links, or promotional materials on coupon websites, discount forums, or any similar platforms;
b) Use misleading or false advertising to promote Company's products or services;
c) Use spam or unsolicited email to promote Company's products or services;
d) Engage in any illegal or unethical marketing practices;
e) Infringe upon the intellectual property rights of Company or any third party.
4. Termination
Either party may terminate this Agreement at any time, with or without cause, by giving written notice to the other party. Upon termination, Affiliate shall immediately cease all promotion of Company's products and services and remove all affiliate codes, links, and promotional materials from its platforms.
5. Modifications
Company reserves the right to modify the terms and conditions of this Agreement at any time. Such modifications shall be effective immediately upon posting on Company's website or notification to Affiliate. Affiliate's continued participation in the Program after the posting of modifications constitutes acceptance of the revised terms and conditions.
