This Affiliate Program Agreement (the "Agreement") is entered into between MEIA ("Merchant" or "MEIA") and the affiliate partner ("Affiliate"). By participating in the MEIA Affiliate Program, Affiliate agrees to comply with the terms and conditions set forth in this Agreement.1. Affiliate Responsibilities1.1. Promotion: Affiliate shall promote MEIA products and brand in an honest and professional manner.1.2. Ethical Marketing: Affiliate shall not engage in unethical marketing practices, including but not limited to spam, deceptive advertising, false claims, or PPC (pay per click) bidding on MEIA.1.3. Compliance: Affiliate shall comply with all applicable laws, rules, and regulations in their marketing efforts.1.4. Content: Affiliate is responsible for creating their promotional content and ensuring it is accurate and up-to-date.2. Prohibited Activities2.1. Trademark Usage: Affiliate is able to use MEIA's trademarks, logos, or copyrighted material only in its promotion of the brand's products, ensuring that credit is noted or linked back to MEIA and its website.2.2. Coupon Sites: Affiliate is not permitted to operate coupon or deal websites without explicit written permission or approval from MEIA.2.3. Brand Confusion: Affiliate shall not create websites or content that may confuse consumers about MEIA's brand or products.2.4. Incentivized Traffic: Affiliate shall not use incentives such as cashback offers or rewards to encourage purchases.2.5. Paid Search and Pay Per Click Advertising: Affiliate shall not engage in paid search advertising using MEIA's brand terms or variations thereof without prior approval.3. Commission and Payment3.1. Commissions: Affiliate will earn a commission of 15% on each sale generated through their unique affiliate tracking link.3.2. Payment: Commissions will be paid according to the payout schedule and method as set by ShareASale. 4. Termination4.1. Termination for Cause: MEIA reserves the right to terminate this Agreement and withhold commissions in case of a breach of this Agreement or any unethical or unlawful activities.4.2. Voluntary Termination: Affiliate may terminate this Agreement at any time by providing written notice to MEIA.5. Trademark Regulations5.1. Trademark Use: Affiliate shall not use MEIA's trademarks, logos, or copyrighted material without prior written consent, unless the material is being used to promote MEIA and its products. Affiliate must comply with MEIA's trademark usage guidelines.6. Email Marketing Policy6.1. Email Compliance: Affiliate agrees to comply with all applicable laws and regulations regarding email marketing and shall not engage in spammy or unsolicited email marketing practices. 7. FTC Disclosure Requirements7.1. Disclosure: Affiliate shall comply with Federal Trade Commission (FTC) guidelines and disclose their affiliate relationship with MEIA in a clear and conspicuous manner in all promotional content.8. Social Media Policy8.1. Social Media Promotion: When promoting MEIA on social media platforms, Affiliate shall clearly state their affiliate relationship with MEIA and adhere to the terms of service of the respective social media platforms.9. Coupons & Deals Policy9.1. Coupon Usage: Affiliate shall not create or distribute unauthorized coupons or deals for MEIA products without explicit written permission from MEIA.10. Special Commission Rules10.1. Special Promotions: MEIA may offer special commission rates or incentives for specific promotions or products, which will be communicated separately to Affiliate.11. Pay-Per-Click Bidding Rules11.1. PPC Advertising: Affiliate must receive approval from MEIA for PPC advertising. If approved for PPC advertising, Affiliate shall comply with MEIA's Pay-Per-Click (PPC) bidding rules, including restrictions on the use of brand terms. Unless approval has been provided by MEIA, Affiliate is not allowed to bid on MEIA, MEIA bags, the domain name mymeia.com, and any MEIA + bidding terms like MEIA coupons. This also applies to any misspellings. 12. ConfidentialityBoth parties agree to keep confidential any non-public information shared during the course of this Agreement.13. Governing LawThis Agreement shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law principles.14. Entire AgreementThis Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings.By participating in the MEIA Affiliate Program, Affiliate acknowledges that they have read, understood, and agree to the terms and conditions outlined in this Agreement.
